Civis Analytics is looking for a highly-motivated attorney to join our legal team and manage our high volume of wide-ranging and complex agreements. As Commercial Counsel at Civis, you will work on the cutting edge of the information age and tackle complex legal issues at the intersection of technology and data science. This position reports to our Legal Counsel and is located in our Chicago headquarters.
 
Civis is growing fast and that means a fire hose of contracts for all the exciting new work we take on. Your primary responsibility will be to take lead on managing this contract pipeline and all contracting issues. This will include contracts involving technology (SaaS/PaaS) and data licensing, consulting, vendors, partnerships, non-disclosures, and a whole lot of stuff in between! You must be able to balance the needs of a fast-growing tech business with the legal and compliance risks presented in these agreements.
You will also assist in tackling a dizzying but exciting array of business and legal issues that come up on a daily basis. The ideal candidate is someone who is resourceful, has strong business judgment and instincts, has been in-house at a fast-paced tech company, and has experience providing nuanced and practical advice to business colleagues and management.

Responsibilities
  • Take lead in structuring, drafting, and negotiating the wide range of complex agreements that underpin the exciting work we do
  • Respond promptly to contracting requests from internal clients
  • Research issues on privacy, cybersecurity, numerous areas of compliance, and various U.S. and international laws and apply that knowledge to our contracting
  • Assist in developing and refining templates and other materials that will serve as a foundation for a growing legal department
  • Assist in responding to other legal requests
  • Keep up with the wide range of laws that affect Civis’ business
  • You'll be a great fit for this opportunity if you are a self-starter with superb legal and business judgment, who produces excellent work with little oversight, and who welcomes mentorship and constructive feedback
Minimum Qualifications
  • J.D. from an ABA-accredited law school and member in good standing of at least one state bar
  • 4-7 years of relevant experience in technology transactions and contract drafting/negotiations (preference for in-house experience)

  • Positive, collaborative attitude and your ego checked at the door
  • Strong contract drafting and negotiation skills in PaaS, SaaS, and data licensing (in both product and services contexts)
  • Sharp business judgment and instincts, with an ability to advise on and structure business terms in contracts, balance risk and business needs, and to anticipate short and long-term impacts of deal terms on Civis’s business and operations
  • Exceptional writing, communication, and analytical skills with an attention to detail
  • Proven ability to multitask, juggle a bunch of high-priority tasks, and work well under heavy deadline pressure in a fast-paced environmentStrong people skills, a good sense of humor, and someone who doesn’t take themselves too seriously
Preferred Qualifications
  • Experience in data analytics services and products (think “big data”)
  • Solid understanding of cloud computing and cloud architecture, including the legal, security, privacy, and operational issues that come with that territory
  • Experience advising business teams on risks associated with data use, data protection, software products, and consulting services
  • Familiarity with federal, state, and some international privacy and data protection laws
  • In-house experience with a fast-growing B2B PaaS, SaaS, or analytics company
  • Experience advising clients in areas outside of your core expertise
