What You’ll Do:

As Corporate Legal Counsel, you will use outstanding client service skills to support Uptake's growing business development team. You will be a creative problem-solver who finds a path forward to achieve Uptake's strategic objectives. You will advise the business across all phases of Uptake’s customer journey, beginning with lead generation and continuing through the execution of and compliance with our commercial agreements. You will support Uptake’s M&A activity, working closely with the business to negotiate and close deals. You will also assist with corporate governance and Uptake’s capital initiatives. Because Uptake has a lean Legal Department and a business that moves at lightning speed, you’ll also pitch in everywhere we need help! This position reports directly to the General Counsel.  

Responsibilities:

• Provide legal support for all aspects of Uptake’s commercial relationships, from initial contact through deal execution
• Think strategically about how to achieve business objectives; then draft and negotiate customer contracts, partnership arrangements, data sharing agreements, and other commercial documents
• Monitor compliance with, and advise on issues arising under, Uptake’s existing commercial relationships
• Handle all aspects of potential mergers and acquisitions, including drafting Letters of Intent, conducting due diligence, and drafting definitive agreements 
• Develop proactive, collaborative relationships with internal business stakeholders to help maximize Uptake's impact in the marketplace while simultaneously optimizing risk
• Assist with capital initiatives, corporate governance, and other corporate matters
• Work closely with outside counsel on corporate matters

Required Qualifications:

• JD from top law school with outstanding academic credentials
• Admitted to practice in Illinois, or eligibility for admission as in-house counsel
• 8-10 years as a practicing lawyer with experience in more than one of the following disciplines: technology transactions, software licensing, mergers and acquisitions, corporate development, or general corporate matters
• Prior in-house experience in a dynamic, forward-thinking legal department; some law firm experience preferred
• Ability to work independently with minimal supervision in a fast-paced environment, to collaborate with others, and to be an outstanding team member
• Outstanding strategic and analytical abilities
• Exceptional writing skills focusing on clarity and brevity
• Ability to draft contracts in plain English without legalese
• Strong business sense
• Superior negotiation, communication, and presentation skills (ability to present to senior management a must)
