What you’ll do:
As a Corporate Paralegal, you’ll assist Uptake’s Legal team with corporate transactions, including mergers and acquisitions, patent applications, trademark registrations and more.
Requirements:
- Assist with due diligence, document preparation and more for various corporate transactions, including mergers and acquisitions
- Help to prepare filings and materials associated with patent applications and trademark registrations
- Assemble, proof and edit drafts of contracts, leases, licenses and other documents
- Assist with the contract review process and manage nondisclosure agreements
- Maintain the company’s legal files, including a library of pre-approved form documents, contract clauses, templates and historical documents, and add or revise material as needed
- Gather, organize, summarize, index and maintain documents from various sources
- Create and maintain corporate minute books and records
- Conduct research and spearhead projects as directed by the General Counsel
Qualifications:
- Bachelor’s degree
- Graduation from an American Bar Association–certified paralegal school
- Experienced paralegal with a minimum of 5 years of experience in a corporate legal department (startup and/or technology experience preferred)
- Strong analytical and problem solving skills
- Excellent computer skills (Word, Excel, Power Point, Salesforce and Apttus contract management)
- Excellent written and oral communication skills
- Exceptional organizational skills with the ability to take initiative and work with tact
- Ability to juggle a wide variety of assignments and to set priorities and goals
