Cars.com, a top-tier online destination for automobile shoppers and sellers, seeks an experienced and passionate attorney to join our growing Legal team as Corporate and Securities lawyer

The Corporate and Securities lawyer, who will report directly to the Chief Legal Officer, has principal responsibility for all of Cars.com’s public company compliance, including securities regulation, corporate governance, and executive compensation; in addition, the CLO may assign other matters or areas of responsibility from time to time.

Responsibilities

• Lead the Company’s efforts, coordinating with the Finance team and other stakeholders as appropriate, to oversee the preparation and filing of our periodic and event-driven securities filings, with a particular focus on the annual proxy statement
• Assist with management of the company's legal disclosure obligations, including drafting and reviewing corporate disclosure and other publicity materials
• Assist with overall SEC and exchange rules, including helping to create and enforce 10b-5 trading windows and the administration of 10b5-1 plans
• Review and revise corporate governance documents, including corporate governance guidelines and committee charters
• Assist with the preparation of agendas for the Board and its committees to ensure compliance with their charters and all applicable legal and regulatory requirements, and keeping abreast of best practices
• Drafting minutes of board and committee meetings, and preparing resolutions and other materials for board and shareholder meetings
• Manage the corporate parent and subsidiary structure and any modifications thereof
• Work with outside counsel on corporate finance transactions and other corporate governance/securities support for strategic transactions and ventures
• Provide advice and counsel to Human Resources concerning a variety of employment-related issues
• Provide overall strategic insight and meaningful contributions within Cars.com's Legal team

• Knowledge of and experience with the federal and state securities laws, corporate securities and stock exchange procedures 
• Demonstrated ability to recognize and weigh business and legal risks, lead strategically and advance innovative solutions
• Exceptional business and legal acumen; ability to identify and diagnose legal problems and articulate creative and practical solutions and alternatives

• 7-10 years practicing corporate finance, governance and securities law, including previous experience in-house in the securities function at a public company, as well as top-tier law firm experience
• General corporate governance experience, including preparation of corporate governance documents (such as corporate governance guidelines, committee charters and insider trading policies) as well as preparation of proxy statements and annual shareholder meeting materials
