This job uses knowledge and direction to influence decisions as an advisor or counsel, establishing overall business or technical strategy for the organization with significant impact on the success of PayPal operations. They spend significant time on strategy and influencing decision-making at the executive level.

Job Description:

Essential Responsibilities:

  • Establish overall business or technical strategy, aligning legal initiatives with corporate goals and objectives.
  • Influence decision-making at the executive level, providing strategic legal advice on key business decisions and transactions.
  • Provide strategic legal advice and support, particularly in high-demand areas such as mergers and acquisitions, intellectual property, and regulatory compliance.
  • Ensure compliance with relevant laws and regulations, overseeing the implementation of advanced legal technologies and compliance programs.
  • Manage legal risks and safeguard PayPal's legal interests, developing and executing risk management strategies.
  • Represent PayPal in litigation and other legal proceedings, managing high-profile cases and collaborating with senior leadership.

Minimum Qualifications:

  • Minimum of 15 years of relevant work experience and a Juris doctorate or equivalent degree

Job Responsibilities: 

 

  • Work as a key team member working on a broad range of U.S. securities law matters, including review and preparation of SEC filings (including Forms 10-K, 10-Q, and 8-K, registration statements, proxy statements and annual reports), annual stockholders meetings and related matters (e.g., D&O questionnaires, no-action letters)  

  • Assist with insider trading compliance and reporting, including Section 16 filings and 10b5-1 plan administration 

  • Provide legal support on corporate governance matters, including review and preparation of materials for PayPal Holdings, Inc. board and committee meetings, and reviewing and maintaining corporate governance documents, policies and guidelines 

  • Provide legal support on public disclosures (e.g., earnings releases, investor relations presentations) and stockholder engagement 

  • Monitor, track and advise on potential impacts of new and proposed legal and regulatory requirements with respect to securities and corporate governance matters and related trends and best practices (including benchmarking of peer practices) 

  • Provide oversight of and legal guidance on subsidiary management matters globally, including entity maintenance, formation of new entities, restructurings and intercompany agreements  

  • Provide legal support for Finance/treasury activities, including capital market transactions, credit facilities, parent company guarantees, and stock buyback programs 

  • Help to develop, implement, and continually improve company and team processes and procedures including leveraging state-of-the-art technologies, project management and process documentation 

  • Work closely with global cross-functional internal teams (Investor Relations, Finance, Treasury, regional Corporate Secretaries, Global Entity Management, Compliance, Communications, Corporate Sustainability & Impact, Tax and Human Resources functions) on various other applicable projects 

Job Requirements: 

  • JD degree with excellent academic credentials  

  • 15+ years of expertise in securities law (’33 and ’34 Act), SEC reporting matters and corporate governance with at least 5 years at a top-tier law firm or equivalent in-house experience 

  • Strong experience in U.S. and international subsidiary management 

  • Strong experience in treasury matters, including capital markets transactions, banking relationships, parent guarantees, and stock buybacks  

  • Strong working knowledge of productivity, collaboration, workflow and project management tools including Teams, SharePoint, Word, PowerPoint, Excel, Workiva/Wdesk, and Smartsheet 

  • Flexibility and creativity in dealing with complex legal issues 

  • Excellent interpersonal, written, and oral communications skills 

  • Well organized and hard-working, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure 

  • A high-level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills 

  • Ability to work collaboratively and effectively with business clients and other functions 

  • Team oriented, with a strong sense of humor, unquestioned ethics and integrity, sound judgment and high tolerance for ambiguity 

  • Ability to cherish innovation, embrace change, and believe that there is always room for improvement

The US national annual pay range for this role is $188,000 to $323,950
