The Director of SOX Compliance will lead the design, execution, and maturation of UL Solutions SOX 404 program, reporting directly to the Chief Accounting Officer and interacting with senior leaders across Finance, IT, Internal Audit, and external auditors. This is a high-impact, high-visibility leadership role that requires an ambitious, agile leader with deep SOX and risk management expertise. 2025 is UL Solutions' first year of SOX 404 as a publicly traded company.
You will manage an internal team of three and an external team from Deloitte (currently 4-6 people.) You'll be responsible not only for driving compliance but also for embedding a culture of accountability and efficiency in our controls environment-especially across new systems, acquisitions, and global processes.
This role is ideal for a highly adaptive, results-oriented leader who can manage complexity, navigate ambiguity, and influence stakeholders in a fast-paced, dynamic environment. You are confident under pressure, thrive on visibility, and bring a proactive mindset to managing risk and compliance.

Total Rewards: We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $160,000 to $205,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 30% of the base salary and long term incentive plan with a target payout of 30% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (20 days), holiday including floating holidays (12 days) and sick time off (72 hours).

RESPONSIBILITIES
- Strategic SOX Leadership: Own end-to-end oversight of UL Solutions SOX program, including scoping, documentation, testing, remediation, and executive reporting in alignment with SOX 404 requirements.
- First-Year Compliance Execution: Lead UL's first-year SOX 404 readiness and compliance efforts-balancing urgency, rigor, and long-term scalability.
- Process & Control Enhancement: Evaluate design and operating effectiveness of controls; develop and implement best-in-class practices and automation opportunities.
- Cross-Functional Collaboration: Partner with Finance, IT, Internal Audit, and business leaders globally to strengthen risk coverage and align compliance with operations.
- Technology & Transformation Risk: Perform proactive risk assessments of new initiatives, ERP/system implementations, and acquisitions to ensure controls are embedded early and effectively.
- Cost Management & Audit Efficiency: Monitor and influence audit fees; lead efforts to reduce SOX-related spend through smarter scoping, testing strategies, and reliance opportunities.
- Reporting & Communication: Prepare and present clear, executive-level reporting for management, Audit Committee, and external auditors.
- Risk-Based Mindset: Own annual SOX scoping and risk assessment process; adjust as needed based on business changes, M&A activity, and new systems or processes.
- Stakeholder Education: Train and coach control owners and key stakeholders on SOX expectations, documentation quality, and control execution discipline.
QUALIFICATIONS
Required:
- Bachelor's degree in Accounting
- Active CPA or CIA certification
- Minimum 10 years of relevant experience in SOX/internal controls, including at least 4 years in public accounting (preferably Big 4)
- Strong experience managing global SOX compliance in a public company environment
- Demonstrated success in building and optimizing SOX frameworks during a company's first year of SOX 404 compliance
- Track record of cross-functional leadership and driving continuous improvement
- Proven ability to communicate effectively with senior executives, process owners, and external auditors
- Knowledge of controls across key business cycles: Quote-to-Cash, Procure-to-Pay, Hire-to-Retire, etc.
- Experience evaluating and implementing automated controls and managing ITGCs
Preferred:
- Experience in technology or service-based businesses
- Experience reducing SOX audit fees or insourcing SOX work
- Experience in post-acquisition controls integration
