Associate General Counsel, Corporate and Securities
Sprout Social is looking for a dynamic attorney to join our small but mighty Legal team. As Associate General Counsel, Corporate & Securities, you will be responsible for managing securities law reporting and compliance, corporate governance and related issues. In this role you will be presented every day with new challenges and opportunities and will work cross-functionally across teams.

You also hunt for efficiencies so that your life and the lives of others are constantly made easier. This person will work closely with and report to Sprout Social’s General Counsel.
The Experience
- Juris Doctorate degree
- Member of the Illinois State Bar and in good standing
- 7+ years of experience at a law firm or combination of in-house/law firm experience, with significant public company representation, SEC reporting and corporate governance experience required
- In-depth knowledge of corporate and securities law (particularly SEC/Nasdaq rules and regulations)
- In-house experience at a technology company is a plus (but not required)
- Strong business and legal judgment, risk-based assessment skills and financial literacy
- Ability to work through ambiguity and autonomously in an environment where priorities change constantly based on the needs of the business
In this role, you will…
- Complete Sprout Social’s new hire training & onboarding program alongside other new Sprout team members. You’ll gain a broader understanding of our business, including its risks and opportunities.
- Assist with the preparation and review of Sprout Social’s SEC filings and ensure compliance with SEC and Nasdaq rules and regulations.
- Run point on preparation of Sprout Social’s proxy statement and assist with planning, preparing for and running annual stockholder meetings.
- Assist with matters related to the board of directors, including drafting and assisting with the preparation of board and committee meeting agenda and materials, minutes and written consents.
- Advise on policies and procedures related to corporate governance and disclosure matters.
- Collaborate with Investor Relations on Regulation FD compliance and review of external communications, including press releases and investor presentations.
- Partner with the People team on Sprout Social’s executive compensation practices, administration of stock and incentive compensation programs and related public company disclosure obligations.
- Assist the Finance team with global subsidiary management.
- Work cross-functionally across the business on other projects from time to time, including capital markets and other financing activities, credit facility compliance and M&A activity.
- Stay current and keep relevant teams advised on applicable securities laws issues and developments and corporate governance trends and best practices.
