Corporate Paralegal

The Opportunity:
The Corporate Paralegal will work closely with the legal team in managing day to day aspects of corporate structure and governance and supporting other legal department projects as needed. The role will involve support for Board meetings and related materials; assistance with general corporate matters, including corporate secretarial responsibilities; and working independently with internal Finance, outside counsel, and auditors. The Corporate Paralegal must be able to operate with minimal oversight and work proactively with various teams across the organization, including Finance, HR, Product, IT, and Legal. The Corporate Paralegal must be a collaborative problem solver with a willingness to tackle new projects.
How your role contributes to the success of Vivid Seats:
- Coordinate with Legal and other areas/departments to develop efficient procedures/communications to streamline processes and satisfy various department needs.
- Organize and maintain corporate minute books and archive documents related to transactions.
- Order and review certificates of good standing and corporate charters.
- Draft certificates, consents, and resolutions.
- Assist with stockholder meeting preparation and logistics and various employee equity/stock plan matters.
- Assist the legal team and other departments with requests for information and documentation.
- Coordinate outside services and act as a liaison with involved third parties, including outside counsel, legal vendors, and auditors.
- Prepare drafts and file SEC documents and filings with state secretary of states.
- Assist with obtaining commercial and other contract signatures and keeping the organization’s contract management system up to date.
- Docket contract expiration dates and notice deadlines as requested.
- Assist with litigation filings and process for litigation and regulatory matters.
- Support other legal department projects or initiatives as needed.
How your role expectations will progress as a Corporate Paralegal in the first 30, 90, and 180 days:
30 days in
- Complete new hire orientation, gaining the resources you need to be successful.
- Learn how ticket marketplaces operate and how you’ll contribute to providing great experiences for our customers.
- Acclimate to team and company norms, business objectives, and Vivid Seats values.
- Develop a working understanding of the legal department’s processes, procedures, systems, and applications.
- Learn about the Board of Directors and its committees and how you can support their needs.
90 days in
- Contribute to our approaches, methods, or technologies to support overall business goals and drive team efficiencies.
- Maintain, harvest, and aid internal and external relationships to achieve progress and advance objectives.
- Support the organization’s M&A activity and other strategic transactions, including NDAs, due diligence, virtual data site and post-closing administration and integration.
- Support the Board of Directors and its committees, including preparation of Board materials.
- Suggest ways to streamline the legal department’s existing processes and procedures.
180 days in
- Apply methods to execute individual tasks that positively impacts the team.
- Play an active role in continued learnings to advance skill sets necessary for team goals.
- Proactively organize and prepare routine filings for attorney review.
- Become a “go-to” resource for internal day-to-day requests concerning Legal operations and general corporate matters.
