The Director and Senior Counsel- Network is responsible for handling complex legal matters and projects including negotiating complex transactions, advising in-house business partners on a wide arrange of issues related to Discover commercial payments network, money transmission, debit and credit card products and initiatives, development of new payments products and initiatives.
The incumbent must be able to dig into complex legal issues, provide creative risk-informed guidance that supports effective risk management in accordance with relevant laws and regulations, identify, assess and communicate legal and regulatory requirements and industry best practices, manage assigned resources and budgets (including outside counsel spend). The Director and Senior Counsel will need to both work well as a part of a close-knit local team and collaborate closely with globally remote teams with a strong emphasis on creative solutions, proactive risk governance, and sound decision making commensurate with firm’s risk and compliance program requirements.
Exercise prudent discretion and creative decision-making skills in advising business and risk partners on strategic and complex legal issues involving: enhancement of existing and development of new payments products and initiatives; management of relationship with existing and new external payments partners; compliance with domestic and global laws, regulations, and firm’s policies; interaction with domestic and international regulators; and collaboration with firm’s governance committees.
Lead legal support on negotiations of complex payments transactions.
Collaborate with the business, risk, and legal partners on development and drafting of Discover Global Network program documents (including operating regulations, product guides and manuals), expansion of Discover Commercial Payments Network, and development of Discover Money Transmitter Licensing program.
Provide proactive, creative, and effective legal advice to internal partners supporting payments business teams responsible for: domestic and international commercial payments network, money transmission, product development (including debit and credit card products), exam management, government relations, and strategic alliances with established and emerging fintechs and technology firms.
Exercise prudent discretion and decision-making in interactions with domestic and international regulatory, judicial, and counter parties on matters relating to commercial transactions, regulatory examinations, industry position papers, and legislations that may impact Discover Global Network.
Identify, assess, and provide creative strategic guidance on new or proposed legal and regulatory changes, emerging legal and regulatory risks and trends.
Manage assigned resources including overhead, outside counsel and other budgets to achieve Legal Organization’s financial goals.
Possess and continue to develop strong understanding of Discover Global Network businesses model, payments industry, and domestic and global payments trends.
Develop strong collaborative relationship with partners across the firm, including Discover Global Network and Legal Organization.
Demonstrate leadership in taking initiative to improve the quality of team processes.
Ensure compliance with corporate and legal guidelines regarding advisory and transactions matters. Utilizes contract management tools to manage workflow, track contracts and retain accurate contract records.
Escalate advisory and transactional issues to management as appropriate.
Communicate effectively with colleagues, clients, management, and parties external to Discover
Consult with outside counsel and subject matter experts as appropriate.
Juris Doctor degree and active law license in good standing.
10+ years of experience in payments legal advisory and commercial transactions industry.
Extensive payments experience in providing guidance for products, systems, platforms, money transmitting services, and other related consumer finance services.
Knowledge of Discover Global Network operating rules and regulations, debit and credit card products, laws and regulations governing money transmitting, e-commerce, and consumer financial services.
Significant experience in drafting and negotiating complex commercial agreements and end-user terms.
Experience working in a regulated environment or with governmental entities.
Ability to learn quickly and support new areas of business and technology.
Strong development of business partnerships, interpersonal skills, and work ethic.
Experience collaborating with international teams.
