Job Summary
Keeper is seeking a resourceful Associate Corporate Counsel to join our growing team. The Associate Corporate Counsel will serve as the strategic legal executive and trusted advisor to the Chief Executive Officer and work closely with the Chief Revenue Officer to support compliance, contract negotiation and other related legal matters. The Associate Corporate Counsel will work closely with the CRO on strategic ventures, partnerships and SaaS licensing agreements to support Enterprise sales. This position is stakeholder-facing and thus, has a key role in building trusted relationships with external stakeholders.
Responsibilities
- Work with the CRO and sales leadership on channel partnership agreements and SaaS licensing agreements as an individual contributor
- Triage, prepare and review contracts (such as master service agreements, data processing agreements, statements of work and non-disclosure agreements) using Keeper standard templates and third party documents
- Manage contracts efficiently and thoughtfully from start to finish with consistent communication at every stage
- Work closely with business stakeholders and other team members to negotiate and deliver contracts that are consistent with company policies and practices, and engage the appropriate support and escalation as needed to support Keeper’s interests
- Spearhead ongoing efforts to continuously improve our contracting processes
- Collaborate on custom projects that support the company’s strategic initiatives on an as needed basis
- Generate various reports on the current status of existing agreements and agreement attributes
- Assist with standardized contract language library and contract generation procedures
- Disseminate information to proper departments upon execution of new agreement or amendments
- Work on IP assertions, legal matters, disputes and notices to vigorously defend the Company's intellectual property - e.g. patents and trademarks
- Assist with strategic transactions covering sales, joint ventures, technology partnerships and other transactions
- Organize and manage the Company's legal files, documents, diligence and tracking system
- Assist with and/or manage general legal matters, as requested by the Company's board and leadership team
- Assist in reviewing and/or preparing minutes of board meetings, corporate resolutions and other corporate legal documents
- Prepare, review and/or file domestic and international annual reports with necessary agencies - e.g. Secretary of State
- Assist with reviewing and drafting legal documents for the corporation(s)
Requirements
Minimum Requirements
- Law degree and/or Illinois Bar Certification
- A minimum of 3 years of direct, applicable experience in a similar role
- Working knowledge of common commercial agreements and terms and conditions
- Ability to work independently and balance competing priorities with short lead times
- Experience in software, SaaS and intellectual property licensing is essential
- Outstanding attention to detail, communication skills (both verbal and written) and interpersonal skills to support positive and growth-oriented professional relationships
- Experience with DocuSign, Salesforce is recommended
- Experience working with and managing contracts
- Knowledge and understanding of the legal requirements involved in specific contracts
