Numerator is seeking an exceptional General Counsel to provide legal and regulatory leadership and to serve as a key business partner and trusted advisor to senior management on a wide range of strategic, tactical and operational issues. The General Counsel will oversee all legal operations of the organization.

The role calls for a business-oriented individual with strong critical thinking skills and a proven track record of experience in supporting high growth companies with general corporate matters, regulatory compliance, commercial agreements, IP protection, risk management and business policy issues. The ideal candidate will have at least 10 years of legal experience gained through a combination of major law firm service and in-house counsel.

Essential Functions

  • Draft, review and negotiate a number of agreements, including customer software subscription and licensing agreements, technology partnership agreements, employment agreements, consulting agreements, vendor contracts, non-disclosure agreements and various other contracts in connection with the company's activities
  • Compliance with security and data privacy requirements
  • Oversight and management of the legal teams in the execution of their day to day duties
  • Legal diligence and contract support for M&A activity, including oversight of applicable integration work streams
  • Manage all areas of the Company's corporate governance
  • Manage the Company's litigation and conflict resolution activities
  • Oversight of the Company's global subsidiary structure, including local regulatory and tax compliance
  • Evaluate and monitor international employment laws and worker classification issues through research and/or consultation with outside counsel to ensure compliance with local country laws
  • Protection of IP rights; oversee patent application and trademark registration process
  • General corporate matters and transactional due diligence support
  • Oversight responsibility for the corporate records of the Company
  • Anticipate and identify legal issues and develop legal strategies and solutions as appropriate


Education and Experience

  • JD degree from major law school or equivalent experience
  • Bar admission
  • Minimum of 5 years at major law firm required plus 3-5 years of in-house company experience
  • Experience in corporate governance and contracts

  • Must be resourceful and self-motivated, have the ability to work effectively with senior management
