IMC seeks a legal assistant (5-7 years experience, minimum) to assist IMC’s in-house Legal Department. In-house experience with broker-dealer, financial services industry, or technology industry preferred. The ideal candidate will be able to work independently under tight deadlines, and possess excellent organizational and interpersonal skills. An ABA-approved Paralegal Certificate or a four-year degree is required.
Responsibilities include:
- Facilitate contract review and management process, from initiation to execution and gathering signatures
- Experience with Novatus and Docusign or similar systems preferred
- Review and analyze proposed confidentiality agreements, provide summary of terms and proposed changes for attorney review
- Review proposed vendor contracts, e.g. licensing agreements, event agreements, broker agreements, and market-maker programs or agreements, and prepare initial assessment of material terms (including any proposed changes) for attorney review
- Draft cancelation notices or related correspondence
- Maintain and update relevant corporate records, draft board or other resolutions and powers of attorney, file corporate documents, inform other departments about corporate changes (e.g. compliance, finance)
- Update internal legal database or files; facilitate approval of legal invoices
- Review and assist in revising company policies
- Assist in responding to due diligence reviews, gather responsive documents and synthesize information regarding due diligence reviews or other proactive projects
- Track emerging regulatory issues and proposed rules associated with Exchange rule filings, SEC, CFTC and other relevant market structure reform proposals. Summarize requested filings and distribute updates to legal team, compliance team, others.
- Contribute to special projects and presentations, draft correspondence, review and revise agendas and presentations, etc.
- Coordinate and schedule meetings, facilitate travel arrangements, conference registrations, expense reporting, etc.
Commitment: Minimum 30 hours per week.
