The Paralegal - Contract Specialist, works under steady direction of the Manager, Paralegal Services, and other senior team members.

Primary Objective: handle the Legal group’s responsibilities for procurement transactions and contract administration.

Secondary Objective: handle the Legal group’s responsibilities for: (i) procurement-related security certification compliance work, and (ii) export control license compliance work.

Third Objective: provide support to the Manager of Paralegal Services or other senior members of the Legal Group on other transactions and special projects.

Role Responsibilities:

Under steady direction of the Manager, Paralegal Services:

PROCUREMENT TRANSACTIONS AND CONTRACT ADMINISTRATION:

Be a hero to every department by handling and administering our procurement contracts:

- Efficiently review, revise, or prepare a variety of procurement agreements on vendors’ forms and/or our forms, and provide focused, value-adding, comments on key issues.

- Administer our internal approval workflow system, respond to questions, and log key details of signed contracts into our contract administration data base (a custom module in Salesforce).

- Related tasks include checking vendor legal names and states, engaging in internal and vendor communications, and negotiations on key points as needed. Confer with our CFO as appropriate.

- Procurement transactions may include in-bound enterprise master agreements and SAAS software contracts, equipment and supply contracts and purchase orders, consulting and professional services contracts.

COMPLIANCE ADMINISTRATION:

Help keep us out of trouble by handling or supporting the Manager of Paralegal Services’ responsibilities for:

· Procurement-related GDPR privacy and ISO and SOC 2 security compliance administrative work.

· Export control license compliance work, which focuses on encryption and decryption programs included in our software (ECCN numbers).

OTHER TRANSACTIONS AND SPECIAL PROJECTS:

 - Be a pinch hitter to help out as time permits and needs arise in supporting the Manager of Paralegal Services or other senior members of the Legal Group on sales or other transactions and special projects or programs.

Minimum Qualifications:

  • BA/BS Degree in a related discipline
  • Three years or more years of high quality relevant experience.
  • Strong organizational skills and attention to detail.
  • Intelligence, flexibility, creativity, diligence, responsiveness, and strong communications skills.
  • Reasonable exposure to computer and software technology concepts.
  • Good experience drafting, revising and reviewing in-bound enterprise master agreements and SAAS software contracts, equipment and supply contracts and purchase orders, consulting and professional services contracts.
  • Good experience with contract approval tracking system, and administering a contract data base.
  • Strong oral presentation and written skills.
  • Strong ability to manage priorities effectively, making good decisions based on priorities and objectives
  • Strong organizational skills and attention to detail.
  • Intelligence, flexibility, creativity, diligence, and responsiveness.

Preferred Qualifications

  • Five years or more of high quality relevant experience.
  • Strong organizational skills and attention to detail.
  • Intelligence, flexibility, creativity, diligence, responsiveness, and strong communications skills.
  • Strong experience drafting, revising and reviewing in-bound enterprise master agreements and SAAS software contracts, equipment and supply contracts and purchase orders, consulting and professional services contracts.
  • Strong experience with contract approval tracking system, and administering a contract data base.
  • Background in information technology or procuring information technology
  • Reasonable exposure to computer and software technology concepts.
  • Undergraduate degree in business, computer engineering, or science from a well-regarded institution. 
  • Paralegal degree or certificate.
  • Proficient in Microsoft Outlook, Word and Excel.
