The team
The Legal team helps DocuSign achieve strategic goals, manage legal risk, and preserve the legal and ethical integrity of the company. We are regularly involved in critical, complex operations, and partner across the business to solve challenging problems to support our growth and progress globally. We focus on providing thorough analysis and offer legal advice to foster sound decision-making and ensuring compliance with legal and other relevant standards and certifications.

This position
The DocuSign Legal team has an immediate opening for an outstanding transactional attorney with a strong technology background to join our growing legal team in San Francisco. The attorney will provide contracts drafting, negotiation and management, as well as general commercial advice and regulatory compliance support on both domestic and international matters.

This position reports to the Deputy General Counsel, Global Contracts. 

Responsibilities

Drafting and negotiating subscription, licensing, distribution and reseller agreements for the company’s SaaS and software offerings, both domestically and internationally.

  • Drafting and negotiating all aspects of vendor, employment and complex partner agreements, both domestically and internationally
  • Assisting and participating in the definition and development of corporate policies, procedures and programs, as well as legal templates and training
  • Facilitating responses to legal process and data requests
  • Providing counsel and guidance to management, global business units and sales/marketing teams, and other business organizations, and supporting the risk management function and regulatory compliance in areas such as data security, privacy, export controls, intellectual property management, and others

Basic Qualifications

  • 12+ years of technology transactional experience -- drafting, reviewing, negotiating and advising on a variety of transactions such as SaaS agreements, SLA agreements, software development contracts, services and consulting agreements, and inbound/outbound licensing agreements.

Preferred Qualifications

  • Exceptional academic and law firm credentials, admitted into and in good standing with at least one state bar
  • Strong commercial experience, including understanding Contracts Management principles and ability to craft and implement legal policies and training, in addition to experience reviewing, revising, drafting, negotiating and advising on sophisticated and complex contracts, such as services agreements, sales agreements, marketing/advertising, professional services agreements, technology agreements, partner and vendor agreements
  • Excellent communication skills; comfort with liaising with multiple teams to solve problems
  • Strong professional judgment, practicality and client service focus. Proactive and able to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced environment. Excellent analytic and communication skills, with ability to act on best information available and not wait for absolute certainty
  • Solid knowledge of the legal aspects of data privacy, data sovereignty, and security as it relates to cloud computing; experience with navigating data privacy issues in a commercial context
  • Law firm and in-house work experience
  • Work efficiently with a client-service focus in a fast-paced, dynamic environment
  • Ability to maintain productive work relationships and work collaboratively with legal area specialists to resolve issues
  • Experience scaling a global commercial team based in multiple locations
  • Exposure to international commercial contracting issues, particularly in EMEA and APAC
  • Track record of taking initiative, having the ability to work independently, and handling multiple projects with competing deadlines
  • Collaborative and solutions-oriented with a passion for driving revenue while protecting DocuSign’s values and business interests
