Reporting to the CFO, the VP, Legal and Corporate Counsel will provide legal and contract support to the business and is responsible for assisting the business on global corporate, legal and regulatory matters. The VP will also review and negotiate proposals, letters of intent, term sheets and conditions, statements of interest, and provide input on the decision whether to send matters to outside counsel as necessary. Really we need someone to make sure we don't break anything and that we don't agree to give the farm away.

Key Responsibilities:

• Drive overall global legal strategy while managing day-to-day legal operations.
• Draft transactional agreements related to selling software.
• Negotiate contracts with outside vendors, contractors, and partners.
• Analyze contracts and advise executives of contract obligations, issues and risk exposure.
• Assists human resources with employment law changes, contracts, claims, employment policies, and investigations.
• Implement company-wide legal best practices and operating standards in a wide variety of areas, including commercial, corporate, antitrust, anti corruption, litigation & claims, regulatory, M&A, labor & employment, and overall legal risk management.
• Serve as primary point of contact for outside counsel.
• Preserve all corporate records.

Requirements:

• Juris Doctorate Degree required
• Proven understanding of national and international business and labor laws
• Strong communication and organizational skills
• Ability to manage multiple projects simultaneously
• Previous experience within the software/SaaS industry a plus
• Ability to travel (domestic and international) up to 25%
