Associate Legal Counsel, Commercial & Corporate

 What You’ll Do:

As Associate Legal Counsel, you will use outstanding client services skills to support various business units within Uptake. You’ll be a proactive business partner that helps the company achieve its strategic objectives while getting exposure to a broad range of commercial and corporate issues in a dynamic, rapidly-growing business. Your responsibilities will include drafting and negotiating commercial agreements such as NDAs, MSAs, and SOWs. You will also work with Uptake’s Marketing Department to review marketing collateral prior to dissemination. You will support the legal team on a variety of complex commercial contracts and corporate matters, including M&A and corporate governance. Because Uptake has a lean Legal Department and a business that moves at lightning speed, you’ll also pitch in everywhere else we need help!

 Responsibilities:

• Negotiating, drafting, and handling all aspects of executing commercial agreements such as NDAs, MSAs, and SOWs
• Reviewing and approving marketing materials for disclosure and working with Marketing Department to establish seamless procedures for review
• Advising on a broad range of other complex commercial contracts and corporate matters
• Coaching business and cross-functional teams on contract structure and related legal issues
• Assisting with corporate matters such as corporate governance, equity grants, M&A, and cross-border issues
• Helping to improve internal processes to enable legal and business functions to scale effectively
• Providing effective advice and support on any other legal issues as needed

 Required Qualifications:

• JD from top law school with outstanding academic credentials
• Admitted to practice in Illinois, or eligibility for admission as in-house counsel
• 2-4 years as a practicing lawyer in a dynamic, forward-thinking in-house legal department or top-tier law firm
• Experience reviewing and drafting commercial agreements
• Working knowledge of corporate law issues and genuine desire to expand your skills in both the commercial and corporate arenas
• Exceptional writing skills focusing on clarity, brevity, and minimizing contract legalese
• Ability to be proactive and work independently with minimal supervision in a fast-paced, dynamic business environment
• Flexibility and team player mindset, ability and willingness to collaborate with team members
• Strong business sense

• Experience with start-ups, technology, or software a plus
