Associate Legal Counsel- Contracts

- Draft, negotiate, and review all contracts. Contracts predominantly include master service agreements, statements of work, amendments, NDAs, and vendor contracts.
- Provide guidance to sales, customer success, and leadership team stakeholders on terms and conditions of our current contracts with clients, on both a micro and macro level. This may include audits of all existing customer contracts in order to determine enterprise-wide positions on various issues.
- Act as the internal legal point person for all contract renewal, negotiations, and management including evaluating potential risk, consolidating various contracts into complex renewal agreements, and providing analyses of available options throughout the contracting process.
- Develop tools and solutions for the enhancement of contract-related processes and documentation.
- Address all contract related issues as they arise, including inquires from clients, investors, the leadership team, and regulators.
- Responsible for the input of contract-related data into client relationship management software, including the closing out of opportunities in the system once the opportunities are won.
- 2-5 years of contract review experience, specifically around SaaS contracts.
- J.D. required, License to practice law in Illinois preferred
- Accuracy of work product is of the upmost importance. Similarly, very high level of attention to detail is a must.
- Ability to adhere to very strict, quick-approaching deadlines, and prioritize multiple tasks so as to adhere to such deadlines. Expected turn-around time averages between 3 hours and 48 hours, depending on the contract/project at hand, but will be very fast.
- Must be extremely proficient and efficient when it comes to legal writing. Writing sample will be required, and, potentially, a written test.
- Proven ability to negotiate contracts independently and directly with clients.
- Effective communication and collaboration is imperative. Essential that this person can work cordially amongst various teams while performing contract-related work, including the various personalities in our sales, account management, security, marketing, HR, and leadership teams.
