ABOUT THE ROLE:

ShopRunner is looking for an experienced, practical business lawyer with broad-based corporate experience to serve as General Counsel.  The General Counsel will report to the Company’s COO and advise all members of ShopRunner’s management team on all of the Company’s legal issues.

ABOUT WHAT YOU’LL DO:  

• Negotiate, and advise teams in negotiation of, key agreements with ShopRunner retailer partners and other strategic partners.
• Counsel management on commercial agreement rights and obligations.
• Responsible for all general corporate and corporate governance matters.
• Advise management on marketing, data, and privacy laws.
• Counsel and advice finance with respect to the debt and equity financing, and human resources on all employee matters.
• Set strategy and implement strategic goals from a legal perspective.
• Oversee ShopRunner’s use of outside counsel.
• Serve as key legal advisor on all business transactions.
• Work cross-functionally with all teams in the organization.

ABOUT WHAT WE’RE LOOKING FOR:

• 10+ years broad-based corporate experience (law firm experience required; in-house experience preferred; a mix of both in-house and firm is ideal)
• Excellent oral and written communication skills, to communicate efficiently and effectively with legal and non-legal counterparties within and outside ShopRunner
• Passion for enabling business
• As the sole lawyer at ShopRunner, the General Counsel must have excellent judgment and decision-making skills and an ability to work in partnership with colleagues across the firm as well as the ability to work both in teams and independently.
• JD from an ABA-accredited law school
• Licensed to practice law in at least one of the United States

OTHER THINGS WE’D LIKE YOU TO KNOW:

A breadth of legal experience is crucial as this role will sit inside of a fast-growing business with work that involves contracts and negotiation, exploration of data privacy implications and creating legal process as we build. Experience drafting and negotiating commercial agreements related to the software space is a major plus.
