The Paralegal, Intellectual Property (IP) & Transactions works under steady direction of the Manager, Paralegal Services, IP Counsel, and other senior team members.

As the Paralegal, IP & Transactions, you will be responsible for supporting: (i) the IP Counsel’s role with protecting the company’s intellectual property, counseling company personnel on intellectual property issues, and handling relevant licensing and vendor transactions; and (ii) the Manager, Paralegal Services’ role with the company’s transactions and special projects, including research and legal compliance matters. 

Role Responsibilities

  • INTELLECTUAL PROPERTY SUPPORT:
  • Attend relevant Product Management meetings and early Release-cycle high level meetings to learn about new planned innovations; attend relevant Development Team meetings to learn details of new innovations as they are developed
  • Support IP Counsel on product-related IP research and knowledge projects.
  • Assist IP Counsel in processing internal Patent Program assessment forms and performing prior art searches
  • Assist IP Counsel in monitoring patent activity of competitors and other 3rd parties for potential interference with the company’s technology and new innovations (planned and potential); assist IP Counsel in performing infringement analysis
  • When potential infringement arises, at the direction of the IP Counsel, work with engineers to help determine ways to engineer around the potential infringement
  • Help prepare technology descriptions and prior art descriptions and citations for new patent applications
  • Coordinate follow-up issues with patent counsel and engineers on patent prosecutions
  • Assist IP Counsel with the management of the company’s patent portfolio including renewal filings and payments
  • Assist the IP Counsel with the Relativity’s FOSS program, filings and management of trademark portfolio, drafting and negotiating software license agreements and amendments, and special projects in legal and compliance areas
  • Support the IP Counsel by taking the lead role in drafting and negotiating license agreements and amendments with developer partners and Professional Services Agreements with developer firms.
  • TRANSACTION SUPPORT:
  •  Support the Paralegal Team by reviewing or preparing a variety of agreements, and providing focused, value-adding, comments on key issues.
  • Related tasks include checking vendor legal names and states, engaging in internal and vendor communications, and negotiations on key points as needed.
  • Transactions may include consulting and professional services, in-bound enterprise and SAAS software contracts, equipment and supply contracts and purchase orders
  • Minimum Qualifications:

    • BA/BS in Business or Science, or related discipline with good grades from a good school
    • Become RCA within three months of beginning employment
    • Advanced knowledge of software development or sincere interest in learning and ability to do so
    • Strong organizational skills and attention to detail.
    • Intelligence, flexibility, creativity, diligence, responsiveness, and strong communications skills.
    • Reasonable exposure to computer and software technology concepts.
    • Strong oral presentation and written skills. Must be able to translate complex technical, legal, and business issues into common language for non-legal Relativians.
    • Strong ability to manage priorities effectively, making good decisions based on priorities and objectives
    • Strong organizational skills and attention to detail.
    • Intelligence, flexibility, creativity, diligence, and responsiveness.

    Preferred Qualifications

    • Three years or more years of high quality relevant experience.
    • Become RCA within three months of beginning employment
    • Advanced knowledge of software development or sincere interest in learning and ability to do so
    • Strong organizational skills and attention to detail.
    • Intelligence, flexibility, creativity, diligence, responsiveness, and strong communications skills.
    • Strong oral presentation and written skills. Must be able to translate complex technical, legal, and business issues into common language for non-legal Relativians.
    • Desirable but not required: experience drafting and reviewing a variety of vendor agreements, including consulting and professional services, in-bound enterprise and SAAS software contracts, equipment and supply contracts, and purchase orders.
    • Desirable but not required: background in information technology or procuring information technology preferred.
    • Undergraduate degree and reasonable exposure to computer and software technology concepts. Preference for a degree in business, computer engineering, or science, from a well-regarded institution. Preference for Paralegal degree or certificate.
    • Proficient in Microsoft Word.
