As Associate General Counsel at cleverbridge, you will be responsible for providing comprehensive and timely legal support to the business operations in North America and, generally, supporting the General Counsel and Legal Department in all legal matters. Primary responsibilities include delivering strategic guidance to business stakeholders, drafting and negotiating agreements, and acting as the Corporate Secretary of the US entity. Your focus will be on United States legal issues, but you will work frequently with the rest of the Legal Department based in Cologne and others on international legal and compliance issues.
Your Responsibilities
- Advise executive management and departments on emerging legal issues
- Review, draft and negotiate a wide range of complex agreements with clients and vendors
- Maintain corporate records and formalities
- Communicate with outside counsel, business partners and government authorities
- Analyze and clearly communicate advice on complex legal issues for all departments
- Maintain an up-to-date knowledge of ecommerce-related legislation and developments core to cleverbridge’s business
- Proactively develop new and improve existing processes and concepts around all legal company tasks
- Initiate business process design & implementation involving stakeholders from other departments
- Coordinate and legally contribute to cross-departmental projects
- Break down legal concepts into business practice guidelines
- Works very well in teams and with non-lawyers, especially business stakeholders
- Highly self-sufficient, organized and responsible without need for regular oversight
- Sharp business judgment and an ability to provide pragmatic and efficient legal analysis and advice
- Excellent written and verbal communication skills with an attention to detail
- Technology/IT background is a plus
- Additional language skills a plus (Japanese, German, Mandarin, Hindi)
- 5+ years transactional law experience at law firm or in-house
- J.D. from top tier US law school and member in good standing of at least one state bar
- Significant experience drafting and negotiating legal agreements
