The Role
The Assistant General Counsel role will have primary responsibility for matters related to the company’s securities filings and disclosures (US and Canada) and corporate governance. This role will also serve as our Assistant Secretary and will assist in the preparation of board and committee materials. The role will be the primary lawyer supporting the company’s accounting, investor relations and Benefits/Compensation teams for such matters including executive and equity compensation issues, employee trading platforms and the company’s 401(k) plan. A key focus of the role will be leading the company through governance and process changes related to its move to a US emerging company/domestic issuer status from foreign private issuer status, including introduction of the Section 16 filing and disclosure process, enhanced disclosure in the company’s proxy statement, memorialization of related party transaction process, tightening of timelines for submission of certain filings and disclosures and further embedding of GTI’s new disclosure committee process including certifications and sub-certifications under SOX.
The role will support GTI in its acquisitions of businesses, including advising management on corporate acquisition issues related to compensation, governance and equity matters.
The role reports to GTI’s general counsel and works in close collaboration with GTI’s Chief Corporate Counsel. The role will have supervisory responsibilities for a paralegal and oversight responsibility for external securities counsel.

Responsibilities
- Responsible for securities filings and disclosures as required by Canadian and/or U.S. laws or applicable exchanges; coordinate with cross-functional teams to make key determinations for public disclosures.
- Assist with corporate secretarial responsibilities as needed.
- Assist in preparation or board, board committee, proxy and annual meeting materials.
- Provide counsel on corporate governance, including insider trading and whistleblower policies.
- Partner as necessary with compliance and internal audit colleagues.
- Contribute to other legal department goals and duties as needed.
- Draft and revise various corporate governance documents (e.g., minutes, board resolutions, etc.) in compliance with applicable law and existing corporate requirements.
Qualifications
- Juris Doctor from ABA-accredited law school
- 10 or more years of substantive legal experience in securities and transactions.
- Experience working for and/or representing publicly traded companies.
- Experience evaluating, structuring, and executing merger, acquisition and divestiture transactions for publicly listed companies.
- Experience advising multi-functional deal teams, including corporate and business development, finance, sales, human resources, and legal.
- Maintain an active license to practice law in IL or satisfy the requirements of Illinois Supreme Court Rule 716.
