Contract Analyst
Mission:
Take DAIS to a new level of operational efficiency by establishing sound contract management processes for suppliers, partners, and customers.
Use your contract drafting and negotiating skills that you developed either as legal professional, contract specialist or sales manager in technology (preferably software) company, and help DAIS’ growth by accelerating contract drafting and responsiveness in key commercial interactions.
Drive for commonality, meaningful no-objection templates, and reduction of expensive one-off work items.
Responsibilities:
Build solid understanding of DAIS business model, revenue streams, roles and responsibilities of DAIS personnel and those of key external suppliers and strategic partners, within 45 days of start date:
Build understanding of DAIS history, rationale behind DAIS legal agreements, and their respective repositories and versioning
Develop productive working relationship with external Legal Counsels
Deploy key Contract Management processes within 60 days of start date:
Roles and responsibilities for different types of agreements (NDA’s, Technology Licensing, MSAs & SOWs, Employment, Corporate Law matters, etc.)
Documented workflow for each group of legal documents, including internal approval chain
Improve DAIS response time to internal and external parties in contract negotiations within the first 90 days of the start date and without incurring additional legal costs:
Employment related docs (NDAs, CIPRAs, Offer Letters, NQSO Agreements, Advisor Agreements, etc.)
Partner/Prospect/Supplier related docs (NDAs, non-competes, non-solicitation agreements)
MSAs and SOWs
Changes to templated Licensing Agreements, Subscription Agreements
Streamline our interfaces with external legal counsels to reduce their billable hours by 25% within 6 months:
Drive development of templates for repeating agreements
Identify patterns of commonly disputed sections of existing agreements, and work with external counsels to refine these templates and reduce redlining cycles in subsequent engagements
Be able to competently address and properly word 50% of contract change requests on an ongoing basis, and work efficiently with external legal help for the remaining

Terms, effects of terminations, financing terms
Non-compete, non-solicitation, IP rights, confidentiality
Able to (i) identify critical contractual elements that require external legal help, (ii) tie them to DAIS business, and (iii) provide legal team with insightful overview to ensure their efficient engagement
Well organized with document redlining, versioning, and archiving
