Senior Corporate Counsel, Commercial & Internet
This position is open to fully-remote candidates who can work from anywhere in the United States. Candidates also have the option to work from one of our office locations in Chicago or Toronto.
The Opportunity
Vivid Seats' Legal Department is looking for an experienced, highly engaged and dynamic attorney to advise and manage a variety of commercial legal matters including consumer protection, e-commerce, internet, data privacy, advertising standards and intellectual property. Reporting to the Vice President, Associate General Counsel, this role will have exposure to the company's partners, and across all functional areas.
The Vivid Seats Law Department is a close-knit team of collaborative and business-savvy lawyers and legal professionals who work for a leader and innovator in the live event ticketing industry. You must be adaptable, collaborative, accustomed to working in a fast-paced environment, demonstrate exceptional judgment, apply practical legal advice tied to business strategies, and explain legal and business risks in plain English.
Vivid Seats is a scaled, growing and highly profitable secondary ticketing e-commerce marketplace serving the concert, sports & theater markets that utilizes its powerful technology platform to connect millions of fans and ticket sellers across hundreds of thousands of events each year through an easy-to-use, trusted marketplace. The company is well positioned to benefit from pent-up demand created during the pandemic as fans are craving the opportunity to see their favorite sports, concert and theater events. In April, Vivid Seats announced plans to become a publicly-listed company via merger agreement with Horizon Acquisition Corporation, a special purpose acquisition company (NYSE: HZAC).
How your role contributes to the success of Vivid Seats:
- Structure, draft, negotiate and advise on various types of commercial agreements, including contracts related to our white label program, partnerships, business development, product, technology & content licenses, and vendor & service agreements.
- Advise the Product and Marketing teams as they develop new site and app features and functionality, from the initial stages of development through launch.
- Manage Vivid's intellectual property portfolio and address data privacy issues as they arise
- Ensure compliance with laws and regulations dealing with consumer protection, e-commerce, privacy, data security, advertising and intellectual property.
- Counsel various business teams including Customer Care, Product, Marketing, Partnerships, Engineering, IT and other internal business groups.
- Provide clear, prompt and actionable legal advice on a diverse set of legal issues, including updates to relevant laws, company policies and business-specific risk tolerance, marketing clearance and other compliance.
- Provide strategic guidance for development of our various marketing programs, including our brand development, contests & sweepstakes, and privacy and data use questions.
- Address regulatory issues with respect to our products and potential disputes that may arise under existing commercial relationships.
- Develop and improve our standard form agreements and legal processes, including consumer-facing materials such as website and transactional terms and conditions, privacy policies, and disclaimers/disclosures.
- Manage disputes, litigation and outside counsel relationships as needed
Requirements & Preferred Experience
- 6-12 years of experience, with a preference for both law firm and in-house experiences (the specific level and title of the role will depend on the candidate's level of experience).
- J.D. from an accredited law school and licensed to practice and in good standing with an applicable state bar.
- Experience providing legal advice in relation to online marketing, privacy, e-commerce, product development, and consumer internet issues is preferred.
- Experience negotiating technology transactions.
- Experience maintaining an IP portfolio is preferred.
- Experience with an online, consumer (B2C) brand company or a B2B internet company is preferable, but not required.
- Strong, demonstrated track record of advising clients in structuring a wide variety of complex commercial transactions (including those that may be novel or first-of-their-kind).
- Ability to take ownership of fast-paced projects with rapidly shifting priorities, managing them through to completion with patience, flexibility, and poise.
- Highly developed business acumen and communications skills, with an ability to understand Vivid Seats' business and anticipate the nature and magnitude of issues that could arise.
- Experience facilitating clear and concise communication with and among outside counsel, colleagues, and management. Must have excellent interpersonal relationship skills, including negotiation and relationship management, with ability to drive achievement of objectives.
- Ability to think strategically and to formulate creative and practical legal business solutions. Must be practical, proactive, business-savvy and results-oriented (no ivory-tower occupants, please).
- High standards, impeccable integrity, sound judgment, seasoned analytical skills, entrepreneurial spirit, creative thinking, organized, with a good sense of humor.
- Preference for Chicago-based candidates (and candidates who would relocate to Chicago), but will also consider remote candidates.
