Department OverviewThis position will be part of the Motorola Solutions Commercial Legal Team for the America Region, which serves as legal counsel to the Motorola Solutions business across its product development, go-to-market and other commercial activities. In particular, this position will be a part of the legal team dedicated to the Motorola Solutions Software Enterprise Organization, which is a fast paced and rapidly growing organization focused on accelerating software innovation for Motorola Solutions’ public safety and commercial customers. Vigilant and DRN are specific product groups within the Software Enterprise Organization which provide leading data solutions to customers based on, among other things, license plate recognition technology.
Job Description
The Senior Counsel - Commercial will report directly to the Lead Counsel for the Software Enterprise business and work closely with the various leaders across the Vigilant and DRN businesses in order to provide legal counsel from both a product development/management perspective and also a go to market function. This attorney will have a broad mandate in building and implementing the legal framework for these growing businesses.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
The Senior Counsel - Commercial will be responsibile but not limited to the following:
• Review, negotiate, draft, interpret and analyze risk in a wide variety of contracts, including customer contracts, vendor contracts, and re-seller and distribution contracts.
• Assist with the development of streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts.
• Manage processes and workflows governing the intake, review, and approval of contract requests; train client groups on contracting matters relevant to their business units.
• Advise multiple stakeholders across marketing, product, engineering and business development throughout the product development cycle (from the initial stages of product development, through launch, to market strategy) on a broad range of legal and compliance issues related to the Vigilant and DRN portfolio of products.
• Provide pragmatic day to day and strategic advice to minimize legal risks while advancing business goals and initiatives.
• Provide guidance to the business on when to escalate risk issues to senior management and assist with the process to obtain internal approvals for proposal submission and contract execution. Identify and provide guidance to the business on the appropriate management of risks and issues. Suggest risk mitigation solutions.
SKILLS AND QUALIFICATIONS:
• Holds a Juris Doctorate Degree with top academic credentials from an accredited institution.
• 7+ years of work experience as an attorney at law firm and/or as in-house counsel. A combination of law firm and in-house experience is preferred.
• Admission to the Bar in at least one state.
• Solid foundation of complex commercial contracts and the ability to identify and solve for potential legal and business issues present therein.
• Both Vigilant and DRN are data intensive businesses, and thus expertise and experience in data privacy and protection laws are highly valuable attributes.
• Ability to engage individuals and teams to ensure timely project completion.
• Strong command over commercial issues and comfort working with business leaders to implement legal frameworks around business concepts.
• The ability to work under pressure, meet tight deadlines, and balance a heavy workload.
• Ability to promote commercial objectives while also applying the law with the highest ethical standards.
