Job Summary

Provides full legal services to business clients throughout the organization in connection with contract review/negotiation and other general transactional matters. Has ongoing relationship and accountability for the departments being served. Has excellent working skillset in contract negotiations and drafting, with an understanding of claims operations and outsourcing. Work assignments consist of major tasks involving problems and issues with the highest degree of difficulty and facts that are often in question for which considerable legal judgment, experience and independent reasoning are required. Essential Duties & Responsibilities

1. Provides counsel to management on matters of legal risk and obligation primarily pertaining to contract review/negotiation and other general transactional matters, with an emphasis on claims operations outsourcing. Anticipates and responds to inquiries regarding business practices and evaluates possible resulting legal implications related to areas of expertise.

2. Provides legal support in areas of expertise to assist assigned business lines and corporate functions in business decisions and strategies.

3. Provides research, legal analysis, counsel and guidance on legal questions or issues.

4. Reviews, drafts and negotiates contracts within areas of responsibility.

5. Monitors legal and regulatory developments in areas of responsibility; counsels management regarding changes, impacts and revised approaches as needed or appropriate.

6. May supervise, train, or mentor other attorneys.

7. Works closely with clients while resolving legal issues.

May perform additional duties as assigned.

VP or above

Skills, Knowledge & Abilities

1. Excellent skill set in critical areas of practice, preferably gained from practice with a recognized law firm, i.e., supplier contract negotiation. Experience with insurance claim service agreements critical – both outsourcing arrangements and TPA arrangements.

2. Heightened communication skills to facilitate building consensus across area of influence (external and/or internal relationships), team and/or matrix environment.

3. Ability to effectively partner with business clients by anticipating business needs and working toward success in a productive/timely manner within scope of responsibility.

4. Ability to work closely and cooperatively with colleagues in Law Dept. and across the company.

Education & Experience

1. Bachelor’s degree with JD and a license to practice law in at least one jurisdiction.

2. Seven years of legal work experience in key specialties, preferably including a period of practice with a recognized law firm.
