Job Description Summary

Reporting to the VP and Head of Corporate Development & Partnerships, the Director of Corporate Development will assist driving CCC’s corporate development efforts, with a primary focus on supporting M&A and strategic investment decisions as well as special projects/growth initiatives and business development activities that align with CCC’s overall corporate strategies. The position will have regular interaction with senior leaders of the company, including the SVP of Strategy and Development.

Job Duties

  • Work with the VP of Corporate Development & Partnerships, in collaboration with the internal Strategy, Product Development, Legal, and Finance teams, to drive corporate development execution for inorganic growth opportunities
  • Partner with company leadership to refine and prioritize corporate development categories and identify specific target opportunities; initiate and perform fact-based research to further inform and shape decision making on strategic initiatives and help identify areas for M&A focus
  • Drive execution in all phases of M&A processes (pre-deal screening, diligence Q&A, and financial analyses; due diligence management, coordination and execution; integration planning; and post-close integration governance)
  • Lead business case development for growth opportunities across cross-functional teams; develop and refine build/buy/partner analyses
  • Develop and maintain flexible, scenario-based financial models for both acquisitions and investment opportunities, including researched pro-forma synergy assessment
  • Oversight for drafting certain M&A legal documentation (e.g., NDAs, LOIs)
  • Collaborate with VP of Corporate Development to drive alignment and reporting on M&A due diligence efforts, expectations, and processes with cross-functional deal and integration teams.  Organize and maintain internal data room materials.
  • Lead the development of periodic M&A updates to company leadership; maintain internal M&A database; and create presentations on acquisition opportunities, strategic initiatives and potential new partner relationships
  • Lead development effort for timely monitoring / tracking of evolving competitive landscape for each of CCC’s main market and product areas
  • Refine / maintain existing strategic M&A framework and continually improve processes for analyzing M&A opportunities
  • Where applicable, assist VP of Corporate Development to lead and drive key strategic partner discussions and management of necessary workstreams

Qualifications

Education and Experience

  • An undergraduate degree is required; MBA desired
  • 10-15 years of experience in a mixture of corporate finance / investment banking (buyside advisory preferred), mergers & acquisitions, and/or private equity/venture capital.  Experience within software / data and tech sector preferred
  • Experience with technology and software industry, with interest and ability to span discussions covering industry dynamics and product offering specifics to overall business operations and financial results
  • Successful and referenceable track record both quarterbacking transaction execution and closing deals.  Corporate development experience (either with a public or private business) is highly valued
  • Demonstrable project planning, deal ownership and cross-functional team management leadership skills
  • International transaction experience is valued

  • Responsive to time-sensitive processes and ability to deliver results in a fast-paced environment
  • Structured thinking along with strong quantitative/qualitative analytical skills
