West Monroe Partners has an im mediate opening for a paralegal/contract negotiator. This individual will be primarily responsible for supporting our mergers and acquisitions (“m&a”) team in preparing, revising and negotiating form and other documentation. This individual will work with the m&a business line in communicating applicable policies and seeking requisite sign-offs on revisions to template and other documentation, NDAs, joinders to NDAs Release Forms, Professional Services Agreements, and Subcontractor Agreements. To the extent not fully engaged by the m&a team, this individual may support other business lines and Legal Team members with respect to documentation of the type noted above, as well as vendor contracts and/ may review and assist with the firm’s responses to requests for proposals (RFPs).

Given the nature of m&a work, this individual will need to be high energy, able to work quickly and efficiently, able to work under pressure, and willing to provide support to the team on evenings and weekends.

Duties include:
* Prepare and negotiate contracts, including NDAs, Professional Services Agreements, Subcontractor Agreements and Release Forms.
* Communicate the status of agreements to necessary stakeholders and verify their understanding and acceptance of the legal and business terms of the agreements
* Work with the Legal team in supporting other business lines and internal partners to the extent not fully engaged by the m&a team.

Requirements:
* Bachelor’s degree or equivalent experience required.
* Skilled at preparation and review of contracts and other legal documents
* Excell ent customer services skills and ability to explain legal concepts to non-legal individuals
* Function on an independent basis and be a team player. Prioritize multiple tasks at hand.
* Sound, practical business judgment, and a problem-solving, client focused, results oriented approach
* Ability to communicate effectively, both orally and in writing, and to listen actively
* Comfortable working with senior management as well as consulting and technical staff
* Demonstrated negotiation skills
* Excellent document reviewing and proofreading skills
* Strong skills at business writing, including spelling and grammar
* Effective in a challenging and constantly changing environment
* Strong organizational skills and priority setting
* Process-oriented; superior attention to detail and accuracy
* Excellent team worker with good interpersonal skills
* Skilled in MS Office Products - Word, Excel, PowerPoint, and knowledge of SharePoint
