Marmon's Corporate Legal team is now seeking an experienced commercial generalist with strong organizational and analytical skills and keen business acumen to join its client-focused law department.
This position will report to the Vice President Legal and Chief Compliance Officer (“Legal Vice President ”). The position will be hybrid -- a combination of time spent in Marmon Foodservice Technologies’ headquarters in Carol Stream, Illinois, work from home, as well as some travel as required.
The Marmon Foodservice Technologies Group, one of the most innovative and globally active groups at Marmon, maintains a strong global portfolio of brands of industry-leading food and beverage equipment, including the following products and services:
• Commercial cooking and refrigeration equipment
• Equipment for toasting, holding, slicing, dispensing, grilling, frying and timing
• Beverage dispensing and cooling equipment
• Beverage equipment remanufacturing
• Beverage merchandising systems
• Repair parts and technical support

What You'll Do:
The Associate General Counsel (“AGC”) will be responsible for providing legal advice and counsel on a variety of commercial as well as global compliance matters and specifically will be required to:

  • Draft, review, and negotiate various types of agreements and advise senior management on sophisticated commercial transactions in the global marketplace, including counseling and guidance on appropriate risk allocation for strategic and core business transactions
  • Work with business unit engineers and patent & trademark counsel on product innovations and global intellectual property portfolio management
  • Support key M&A deals, financings, joint ventures, and strategic collaborations that will directly impact the success of the organization
  • Conduct legal analysis and provide counsel on laws, rules, regulations, and policies related to business operations in the U.S. and globally, while consistently guarding against and providing timely evaluation of potential risks in contractual, regulatory, compliance, and other legal areas
  • Assist in managing litigation and legal claims
  • Provide analysis and counsel on various other substantive legal issues as they arise, including but not limited to employment law, bankruptcy law, competition law, regulatory issues, and risk management
  • Cost-effectively manage outside counsel, which includes negotiating fixed fee and alternate fee arrangements with outside law firms, using technology to aid in reporting, and streamlining more routine processes and procedures such as e-billing, budget management, case management, knowledge management, and litigation reporting
  • Collaborate with management and the business units to ensure compliance with Marmon’s ethics and compliance policies, including Prohibited Business Practices Policy and Code of Conduct; Invention, Confidentiality, Communications, IT, and Respectful Workplace Policy; Intermediary Vetting Policy; Compliance with Trade Laws Policy; and Data Privacy and Joint Controller Policy
  • Support the business units in promoting Marmon’s Supplier Code of Conduct and oversee related vendor assessments related to the risk of unethical conduct such as forced labor and human trafficking
  • Work closely with Legal department colleagues on strategic initiatives and general legal issues; collaborate with colleagues to analyze and implement various projects, including improvements on data metrics, reporting, and automation, as well as outside counsel expenditures and performance.
  • Develop, implement, improve, and continuously review legal and compliance processes, procedures, and training

What You'll Bring to the Role:

  • A J.D. from an accredited law school, with proven academic success
  • At least 12 years of broad commercial law experience with the ability to influence outcomes and manage ever-increasing transactional complexity, while providing client counseling of the highest quality; experience with global business transactions is desired; familiarity with substantive issues relating to manufacturing is key
  • Proven ability to effectively lead a cross-functional team and drive transactions and initiatives to completion in a fast-paced and entrepreneurial setting
  • Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and authentic personal style
  • Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial, and to take unpopular positions when necessary while maintaining trust and credibility
  • Strong written and communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience
  • Proven success in managing, organizing, and/or completing multiple tasks and priorities
  • License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois

Pay Range:

183,333.60 - 275,000.40
