The Opportunity:

The Corporate Paralegal will serve as a key member of the legal team, providing hands-on support across areas of corporate governance, entity management, compliance, privacy, and legal operations, in addition to providing support on ad hoc strategic transactions and other legal projects. The role reports to the General Counsel and works closely with senior leadership and various cross-functional teams (finance, HR, product, etc.) to help keep the Company’s legal and regulatory functions running effectively. The Corporate Paralegal must be a collaborative problem solver and have a willingness to tackle new projects. The ideal candidate brings a combination of in-house experience, sharp organizational skills, and the ability to manage multiple workstreams with minimal supervision.

What You'll Do:

Corporate Governance & Entity Management

  • Maintain corporate record books and entity registrations
  • Administer entity management program, including maintenance of organizational charts and director and officer records
  • Assist in the planning and preparation of materials for meetings of the board and shareholders, and administer board portal
  • Track and calendar key governance-related obligations

Legal & Regulatory Compliance

  • Assist in the preparation and filing of periodic reports and proxy statements with the SEC
  • Support insider trading compliance program, including tracking trading windows, coordinating pre-clearance requests, and assisting with the preparation and filing of Section 16 reports
  • Track and calendar all recurring and event-driven reporting obligations, filings, license renewals, lobbying-related reports, and other compliance-related matters
  • Coordinate with registered agent and outside counsel on state and local compliance matters

Privacy

  • Administer platforms and programs related to cookie consents and other privacy rights
  • Process data access and deletion requests in compliance with applicable privacy laws
  • Develop, maintain, and update internal procedures for handling privacy and related requests

Legal Operations & Compliance

  • Administer law firm e-billing platform, serving as the primary point of contact for billing, accruals, and vendor management, including ensuring accurate matter assignment and vendor profiles
  • Manage contract management system, including processing pending contracts, maintaining contract repository, and producing quarterly reporting
  • Assist with data transfer and coordination between procurement and contract management systems

What You'll Need:

Required

  • At least three years of experience (corporate and/or litigation) at a law firm, in-house legal department, or a combination thereof
  • Strong organizational skills and ability to manage multiple workstreams with overlapping deadlines
  • Comfort learning and administering legal technology platforms
  • High attention to detail, and the ability to handle confidential and sensitive information with discretion

Preferred

  • Familiarity with contract lifecycle management and legal billing systems
  • Experience supporting board and shareholder meeting logistics
  • Experience with SEC filings (particularly Section 16 reports)
  • Notary public commission (or willingness to obtain one at the Company’s expense)

30 / 60 / 90-Day Expectations:

First 30 Days: Learn & Onboard

  • Complete onboarding across all core legal technology platforms (e.g., TrustArc, SimpleLegal, LinkSquares, Zip)
  • Review existing playbooks, workflows, and standard operating procedures
  • Shadow current team members on consumer privacy request processing and billing workflows
  • Become familiar with corporate record books, entity management platform, and pending compliance deadlines
  • Meet key internal stakeholders and outside counsel contacts

First 60 Days: Own Core Workflows

  • Independently process consumer data and deletion requests end-to-end
  • Take over day-to-day e-billing administration, including law firm billing and accruals
  • Manage the procurement-to-contract-management-system data transfer process without supervision
  • Begin tracking and managing upcoming regulatory filing and license renewal deadlines
  • Identify gaps or improvement opportunities in existing playbooks and procedures
  • Support the board of directors and its committees, including preparation of meeting materials
  • Suggest ways to streamline the legal team’s existing processes and procedures

First 90 Days: Operate at Full Capacity

  • Fully own all ongoing responsibilities with minimal oversight
  • Actively support any in-progress corporate transactions, and proactively prepare board meeting materials and Section 16 filings for attorney review
  • Deliver at least one process improvement recommendation (e.g., updated playbook, workflow optimization, system configuration enhancement) based on your first 60 days of observations
  • Establish yourself as the legal team’s go-to resource for legal operations, compliance coordination, and general corporate matters

Vivid Seats Pay Transparency Disclaimer: Full time offers from Vivid Seats include annual bonus incentives; FLEX PTO; mental health days; medical, dental, and vision insurance; 401K matching; monthly credits and discounts for attending live events; and a variety of additional workplace perks. The typical starting salary within the full salary range for this position can range. Factors which may affect starting salary include geographic market, relevant skills/experience, education, and other qualifications.

 Salary: $65,000-$90,000
