The Position:

The Legal Counsel will be responsible for providing expert counsel and support on portfolio acquisitions and related legal issues including performing due diligence and drafting agreements. The candidate will provide expert guidance and opinions and will ensure compliance with applicable legislation.

The position requires an articulate, self-motivated individual who possesses strong organization skills. The candidate must have excellent interpersonal skills to work with people at all levels internally as well as with externally in various jurisdictions.

Assessing the risks associated with transactions are further required to maximize the Company's financial and operational performance. Other duties may be assigned, as necessary.

Job Duties

  • Drafting, reviewing, negotiation, and administration of purchase agreements and associated ancillary documentation, including Letters of Intent, Disclosure Letters, resolutions and consents.
  • Reviewing documents for acceptability and compliance with company standards, policies, and procedures.
  • Ability to customize existing templates, draft new agreements to fit project requirements, and effectively negotiate terms with sellers.
  • Build and maintain positive relationships with business partners within Lumine Group and external counsel.
  • Perform all aspects of legal due diligence.
  • Assess, evaluate, and report on the risks associated with new transactions.
  • Managing legal review intake and performing triage.
  • Other duties shall be assigned as required.

Requirements

  • Must be an active member of the Law Society of Ontario
  • 2-5 year call to the bar.
  • In-house legal department experience considered an asset.
  • Experience in a telecommunication and/or software environment considered an asset.
  • Excellent writing skills for complex documentation and attention to detail.
  • Superior time management skills, multi-tasking skills, and the ability to prioritize tasks.
  • High level of sound and independent judgment, reasoning, and diplomacy.
  • Resourcefulness and flexibility.
  • Professional, responsive, and positive work attitude is critical.
