The Yahoo Corporate Development team is a highly collaborative, high-trust group working directly with senior leadership and ownership on the company’s most consequential strategic transactions. We lead full-lifecycle M&A, divestitures, joint-ventures, and strategic investments that directly shape the company’s portfolio, capabilities, and long-term strategy.

Position Overview

We are hiring a Senior Manager to operate as a generalist across the full deal lifecycle: sourcing and strategy, valuation and analysis, diligence and execution, and integration and separation. This is an individual contributor role working directly with the Senior Vice President and Head of Corporate Development. The team uses AI tools heavily to move faster and sharpen its work, and expects this person to do the same. You will own workstreams end-to-end, produce decision-ready materials, and be the reliable point of contact for internal stakeholders and outside advisors. The role suits someone equally comfortable in a model, a data room, and a board memo.

Your work maps directly to Yahoo’s strategy: strengthening a portfolio of iconic consumer products and a leading advertising business, and finding where acquisitions, partnerships, and divestitures can extend Yahoo’s reach, data, and capabilities.

What you’ll do

Sourcing and strategy

  • Maintain and prioritize the pipeline; build target landscapes, market maps, and theses on where Yahoo should buy, build, or partner, including AI-native businesses and adjacent categories.

  • Serve as a consistent point of contact for bankers, investors, and advisors, managing both inbound opportunities and sourcing new opportunities through outbound outreach.

Valuation and analysis

  • Build and own operating models, valuation, and returns analysis using discounted cash flow, comparable company, precedent transaction, and accretion and dilution methods.

  • Pressure-test target projections, synergies, and deal structure, and frame clear, defensible recommendations on price and terms to be presented to senior leadership and ownership.

Diligence and execution

  • Run cross-functional due diligence across finance, legal, tax, product, engineering, and people teams, and manage diligence request lists and data rooms.

  • Draft transaction materials, including process letters, letters of intent , term sheets, and management presentations, and partner with outside counsel through definitive agreements and issues lists.

Integration and separation

  • Participate in integration planning for acquisitions and separation planning for divestitures and carve-outs, including transition services agreements (TSA), operating model design, and the stand-up or wind-down of affected functions.

  • Coordinate deal sponsors, functional leads, and counterparties from signing through close and into post-close execution, tracking synergy and separation milestones to completion.

Executive materials and process

  • Prepare investment memos, executive committee materials, and board-ready decks that withstand senior scrutiny, and distill complex analysis into concise narratives for senior leadership and ownership stakeholders.

  • Use AI tools to accelerate research, diligence, modeling, and drafting, and to build the templates, trackers, and lightweight workflows that compound the team’s institutional knowledge.

What you bring

Required

  • 5+ years in corporate development, investment banking, private equity, or growth equity.

  • Proven ownership of financial models and valuation across multiple completed transactions, with command of the M&A process from sourcing through close.

  • Board-ready written communication produced independently, and composure across several concurrent workstreams and senior stakeholders.

  • Fluency with modern AI tools, used in practice to synthesize diligence, draft first-pass memos and analyses, build internal trackers or lightweight workflows, and help evaluate AI-native targets.

  • Bachelor’s degree in finance, economics, business, or a related field.

Preferred

  • Direct experience in media, advertising technology, consumer internet, or subscription and software as a service (SaaS) businesses.

  • Both buy-side and sell-side transaction experience, including divestitures and carve-outs.

  • Familiarity with private-equity-backed or sponsor-owned operating environments and their reporting expectations.

  • An advanced degree or relevant credential such as an MBA or CFA.

  • Demonstrated commitment to continuous learning and the ongoing development of AI knowledge, skills, and practical application.

What success looks like

  • Independently own modeling and diligence on live transactions within the first few months.

  • Produce executive and board-ready materials that need minimal revision before circulation.

  • Maintain a current view of the pipeline and the advisor and investor network behind it.

The compensation for this position ranges from $122,250.00 - $255,000.00/yr and will vary depending on factors such as your location, skills and experience.The compensation package may also include incentive compensation opportunities in the form of discretionary annual bonus or commissions.
