Job Description:

As a State & Local Tax (SALT) Senior Manager within our M&A Tax Transaction Advisory practice, you will serve as a trusted advisor to clients navigating complex transactions, restructurings, and business transformations. This role requires deep technical expertise in state and local tax matters, extensive experience advising on mergers and acquisitions, and the ability to lead multiple engagements while managing client relationships and developing team members.

You will work closely with clients to identify state tax risks and opportunities throughout the transaction lifecycle. The ideal candidate will combine strong SALT technical knowledge with transaction advisory experience and a consultative, client-focused approach.

Key Responsibilities

State & Local Tax Advisory

  • Advise clients on complex state and local tax matters, including income, franchise, gross receipts, sales and use, property, payroll, and unclaimed property taxes.
  • Analyze nexus, apportionment, allocation, unitary filing, combined reporting, and state conformity issues.
  • Provide technical guidance on state tax planning opportunities and risk mitigation strategies.
  • Assist clients with state tax controversy matters, including audits, appeals, voluntary disclosure agreements, and remediation projects.
  • Research and interpret state tax laws, regulations, and legislative developments and communicate their impact to clients.

Mergers & Acquisitions Tax Advisory

  • Lead state tax due diligence engagements for acquisitions, dispositions, carve-outs, and restructurings.
  • Identify and quantify state tax exposures, risks, liabilities, and opportunities throughout the transaction process.
  • Advise clients on transaction structuring alternatives, including asset and stock acquisitions, Section 338(h)(10) elections, Section 336(e) elections, and legal entity restructuring strategies.
  • Analyze and model the state tax implications of mergers, acquisitions, dispositions, and post-transaction integration activities.
  • Support clients through transaction execution, integration planning, and post-close implementation.

Restructuring & Corporate Transactions

  • Advise clients on legal entity rationalization and organizational restructuring initiatives.
  • Evaluate state tax implications of intercompany reorganizations, spin-offs, drop-down transactions, debt restructurings, and bankruptcy-related transactions.
  • Develop cash tax impact analyses, forecasts, and state tax modeling to support strategic decision-making.
  • Assist clients with post-acquisition integration and ongoing tax optimization strategies.

Leadership & Client Service

  • Lead multiple engagements simultaneously while ensuring high-quality client service and timely project delivery.
  • Review technical memoranda, due diligence reports, transaction analyses, and client deliverables.
  • Serve as a primary client contact and trusted advisor to tax directors, CFOs, corporate tax departments, and private equity stakeholders.
  • Collaborate with federal tax, international tax, valuation, accounting, and legal professionals on complex transactions.
  • Mentor, develop, and coach staff, senior associates, and managers.
  • Support business development efforts, including proposal development, networking, thought leadership, and expanding existing client relationships.

Qualifications

  • Bachelor's degree in Accounting, Finance, Tax, or related field required.
  • CPA, JD, LLM, or other relevant professional credential preferred.
  • 8+ years of public accounting, consulting, or corporate tax experience.
  • Minimum 5 years of specialized State & Local Tax experience.
  • Significant experience leading SALT due diligence, transaction advisory, restructuring, or M&A tax engagements.
  • Strong knowledge of state income, franchise, gross receipts, and related state tax regimes.
  • Experience with transaction structuring, tax modeling, and state tax implications of mergers, acquisitions, and reorganizations.
  • Proven ability to manage client relationships and lead complex engagements independently.
  • Strong technical writing and presentation skills, including preparation of memoranda, due diligence reports, and client recommendations.
  • Demonstrated leadership experience managing and developing tax professionals.
Preferred Skills
  • Familiarity with tax research platforms such as Bloomberg Tax, Checkpoint, or CCH.
  • Advanced Excel modeling and data analysis skills.
  • Experience with Alteryx, Power BI, or other data analytics and workflow tools is a plus.

This role follows a hybrid work model for candidates located near a Crowe office. Candidates who are not within commuting distance of a Crowe office may be considered for a remote work arrangement, subject to business needs.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $137,900.00 - $290,700.00 per year. This role follows a hybrid work model for candidates located near a Crowe office. Candidates who are not within commuting distance of a Crowe office may be considered for a remote work arrangement, subject to business needs.
