Vice President, Managing Counsel – Technology Transactions and AI

Summary:

In this role, you will manage a small team of attorneys responsible for commercial contracts related to technology and Artificial Intelligence. You will be expected to provide high quality and efficient service to a broad array of internal clients in a fast-paced environment. You will directly negotiate complex agreements, manage and resolve issues involving AI, intellectual property law, HIPAA and data privacy. This position will report to Vizient’s SVP & Assistant General Counsel. 

Responsibilities:

  • Draft, review, negotiate and analyze complex commercial arrangements and contracts that include software, data use, AI, consulting, open source, and SaaS agreements.
  • Identify, analyze and assess complex legal and regulatory issues.
  • Advise senior leadership on legal, regulatory and operational matters.
  • Manage teams of attorneys and/or paralegals responsible for discrete legal functions.
  • Manage outside counsel and other advisors, as needed.
  • Provide advice and counseling to business teams regarding contract terms, negotiations, strategies and other legal issues. 
  • Assist business teams in achieving the company’s goals and objectives in a legal and ethical manner.
  • Proactively identify legal and regulatory risks and trends, and provide related advice.

Qualifications:

  • Juris Doctorate (JD) degree required.
  • Admission to the bar from at least one state.
  • 10 years minimum experience working as a legal counsel in a law firm and/or in-house at a large company supporting technology contracting.
  • Extensive knowledge and negotiation experience working with technology and transactional contracts/agreements and AI-related legal issues.
  • Certifications related to Artificial Intelligence and/or Information Privacy and related topics are a plus.
  • Ability to manage responsibilities with an appropriate sense of urgency effectively and efficiently in fast-paced environment.
  • Proven ability to take a proactive long-term view of business goals and objectives in order to achieve strategic business results. 

Estimated Hiring Range:

At Vizient, we consider skills, experience, and organizational needs in our compensation approach. Geographic factors may adjust the range estimate and hires typically fall below the top range. Compensation decisions are tailored to individual circumstances. The current salary range for this role is $187,800.00 to $348,300.00.
