About this role:
Wells Fargo is seeking a Senior Counsel, Senior Assistant Vice President to join the Corporate & Investment Banking and Technology Division and play a meaningful role on a sophisticated legal platform supporting Corporate Banking's loan origination and portfolio activities across both the leveraged and investment grade markets. This position offers the opportunity to work on a broad range of syndicated lending and related credit activities, while partnering closely with experienced attorneys and business stakeholders across an important and evolving practice. The role is designed for an attorney who brings strong foundational lending experience, can contribute immediately on transactions and matters of moderate complexity, and is eager to continue building toward broader responsibility over time.

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to demonstrated examples of prior performance, skills, experience, or work location. Employees may also be eligible for incentive opportunities.
$139,000.00 - $260,000.00

In this role, you will:
- Support legal matters arising from Corporate Banking's loan origination and portfolio activities across both the leveraged and investment grade markets, including syndicated lending and related credit activities.
- Review, draft, and negotiate legal documents relating to lending transactions, including commitment papers, credit documentation, confidentiality agreements, authorization and organizational documents and other transaction documents arising in the ordinary course of the team's practice.
- Analyze legal and regulatory issues, develop practical recommendations, and help resolve matters in a manner consistent with Wells Fargo policies and risk standards.
- Support senior attorneys and independently manage assigned matters of moderate complexity while helping support efficient execution and coverage across the team.
- Collaborate with legal, business, risk, and other internal partners on transactional and advisory matters in a fast-paced, team-oriented environment.
- Contribute to initiatives designed to improve efficiency and respond to legal, regulatory, and market developments affecting the business.
- Provide proactive legal advice and sound judgment, in collaboration with colleagues across Legal, Risk, and the business, to support the company's strategy and transformation while helping manage legal, regulatory, and reputational risk.
- 4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education.
- Active State Bar membership.
- Experience with syndicated lending and commercial lending transactions gained in a law firm and/or in-house legal setting.
- Experience analyzing legal and regulatory issues in area of practice and providing effective counsel to clients on transactional and advisory matters.
- Ability to contribute effectively on transactions and matters of moderate complexity without the need for foundational training.
- Strong legal, business and risk judgment.
- Ability to integrate smoothly into an existing team structure.
- Experience relating to risk participations and credit risk insurance is a plus.
- Strong analytical skills with high attention to detail and accuracy.
- Excellent verbal, written, and interpersonal communication skills.
- Ability to work effectively in a complex, highly collaborative environment and to execute in a fast-paced, high-demand setting while balancing multiple priorities.
- Position requires an onsite presence in any of the posted locations.
- This position offers a hybrid work schedule.
- Ability to travel up to 10% of the time.
- Relocation assistance is not available for this position.
