CFGI is seeking an experienced Managing Director to help lead and expand our Complex Securities Valuation practice. The Complex Securities team advises clients on the valuation of sophisticated financial instruments and equity-based arrangements, including options, warrants, convertible instruments, embedded derivatives, contingent consideration, earnouts, and stock-based compensation.

 

Managing Directors serve as senior trusted advisors to executives, finance leaders, boards, auditors, and other stakeholders. They take ownership of strategic client relationships, lead the most complex valuation engagements, drive business development, develop senior professionals, and contribute directly to the continued growth and market position of CFGI's Valuation practice.

 

Roles & Responsibilities:

  • Serve as the executive engagement leader and senior technical advisor on complex securities valuation engagements.
  • Advise CFOs, Controllers, CAOs, finance executives, auditors, boards, and other senior stakeholders on complex financial-instrument and equity-related valuation matters.
  • Lead valuations involving options, warrants, convertible debt and preferred securities, embedded derivatives, contingent consideration, earnouts, stock-based compensation arrangements, and other complex instruments.
  • Oversee the application of appropriate valuation methodologies, including option pricing models, Black-Scholes models, Monte Carlo simulations, lattice models, discounted cash flow analyses, and other advanced valuation techniques.
  • Provide senior-level guidance on valuation matters associated with financial reporting, transactions, capital markets activity, equity compensation, and other strategic corporate events.
  • Lead engagement scoping, methodology selection, staffing, execution, technical review, quality assurance, project economics, timelines, and final client delivery.
  • Review and challenge valuation assumptions, methodologies, models, analyses, and conclusions prepared by engagement teams.
  • Communicate complex valuation concepts and conclusions clearly to executive management, audit teams, valuation specialists, boards, and other stakeholders.
  • Build and maintain long-term client relationships while identifying opportunities to expand existing engagements and introduce additional CFGI services.
  • Drive business development through relationship building, opportunity identification, proposal leadership, solution development, networking, market-facing activity, and pursuit of new client relationships.
  • Partner with CFGI professionals across Valuation, Finance & Accounting Advisory, Transaction Advisory Services, Tax, and other practice areas to develop integrated client solutions.
  • Mentor and develop Directors, Senior Managers, Managers, and Consultants while creating opportunities for technical development, client leadership, and career progression.
  • Contribute to recruiting, performance management, training, methodology development, quality initiatives, thought leadership, and broader practice development.
  • Monitor emerging valuation practices, accounting developments, transaction structures, and market trends relevant to complex securities and translate them into practical client solutions.

 

What you must have:

  • 10+ years of experience in valuation, financial advisory, transaction advisory, consulting, investment banking, or another professional environment involving the valuation of complex financial instruments or securities.
  • Significant experience leading client-facing complex securities valuation engagements involving financial instruments, equity-linked securities, derivatives, stock-based compensation, or similar complex valuation matters.
  • Experience serving as a senior relationship owner or trusted advisor to executive-level client stakeholders while overseeing complex engagements and multidisciplinary teams.

 

What sets you apart:

  • Experience leading valuations of options, warrants, convertible instruments, embedded derivatives, contingent consideration, earnouts, or other complex financial instruments.
  • Experience leading valuation work related to stock-based compensation and other equity-based arrangements.
  • Experience applying advanced valuation techniques such as option pricing models, Black-Scholes, Monte Carlo simulation, lattice models, or comparable methodologies.
  • Experience advising clients on complex valuation matters arising from transactions, capital raising, public-company reporting, equity compensation, or other significant corporate events.
  • Experience reviewing complex valuation models, assumptions, methodologies, analyses, and client-facing valuation reports.
  • Experience working directly with CFOs, Controllers, CAOs, auditors, boards, valuation specialists, or other executive stakeholders on significant valuation matters.
  • Experience managing multiple complex engagements, including responsibility for scope, staffing, budgets, timelines, engagement economics, technical quality, and client satisfaction.
  • Experience generating new business, expanding existing client relationships, developing proposals, identifying market opportunities, or otherwise contributing directly to revenue growth.
  • Experience developing Directors, Senior Managers, Managers, or other senior professionals through coaching, technical development, performance management, and engagement leadership.
  • Experience contributing to valuation methodologies, technical guidance, training programs, thought leadership, quality initiatives, or broader practice development.
  • Experience collaborating across accounting advisory, transaction advisory, tax, capital markets, or other professional-services teams to deliver integrated client solutions.

 

Nice to have:

  • Bachelor's or advanced degree in Finance, Accounting, Economics, Mathematics, Financial Engineering, or a related field preferred.
  • CFA, ASA, CPA, or another relevant professional designation preferred.
  • Big 4, national valuation firm, investment bank, or other major professional-services experience is a plus.
  • Experience with valuations involving SPAC warrants, preferred equity, structured securities, or other highly complex or emerging financial instruments is a plus.
  • Experience supporting public-company, private-equity-backed, high-growth, IPO, or capital-markets environments is preferred.
