Department OverviewThe Rewards COE, within HR, is responsible for global compensation and benefits. Global compensation includes 1) executive rewards, 2) broad-based compensation, and 3) equity administration.
Job Description
Responsibilities include, but are not limited to:
Review compensation program designs including base salary, annual incentives and long-term incentives
Partner with other departments (e.g., Legal and Finance) to determine compensation program and policy improvements that support strategic business objectives
Serve as a main contact point with senior management regarding executive compensation matters
Prepare materials for the Compensation and Leadership Committee (“CLC”) of the Board of Directors
Support the CLC’s independent consultant's review of Section 16 Officer compensation
Develop personalized compensation statements for executives and others, as necessary
Understand Institutional Shareholder Services (“ISS”) policies and provide recommendations for compliance
Assist with drafting the annual proxy statement including, but not limited to, the Compensation Discussion and Analysis (“CD&A”), Summary Compensation Table, and termination tables for the named executive officers
Forecast annual budgets for share usage/burn rate and related stock-based compensation expense; monitor at least quarterly in collaboration with the Finance team
Conduct share utilization (i.e., burn rate) and dilution analysis
Complete competitive market analysis for the executive population, annually, and present results to senior leadership
Review short- and long-term incentive targets for executives and the broader employee population, annually; determine recommendations for change, if any
Analyze executive compensation and pay for performance relationships
Develop recommendations to share with the Compensation and Leadership Committee for setting appropriate pay for performance relationships and following sound corporate governance guidelines
Manage programs specific to the executive population (e.g., financial planning, deferred compensation, physicals)
Understand regulations and requirements pertaining to executive compensation
Qualifications:
Working knowledge of regulations impacted executive rewards
Strong excel and PowerPoint skills
Agile, resourceful learner with strong attention to detail
Consulting experience strongly preferred
Note: while we have a preference for someone in the Chicago area we will consider a U.S. based remote employee as well
Basic Requirements
Bachelor's degree
5 years minimum experience in executive compensation/rewards
Specific experience in standard executive compensation analysis (e.g., proxy analysis, executive benchmarking and incentive program design) required
