Job Summary

Medline is seeking a Legal Counsel, Corporate Governance and Securities, to be a corporate governance specialist reporting to the VP, Deputy General Counsel and Corporate Secretary. This attorney, in partnership with the Corporate Secretary, will be responsible for Board and Committee organization and administration. In addition, this attorney will provide support for other matters related to securities and corporate governance, collaborating closely within the Legal team and cross-functionally with the Company’s compensation, audit, external reporting, corporate accounting, finance, and investor relations teams.

Job Description

Corporate Governance

  • Prepare, review, and distribute materials for meetings of the Board and its Committees, including drafting resolutions; reviewing, compiling, and distributing materials; communicating with the Board and senior leaders; preparing meeting minutes; and maintaining minute books and records
  • Advise, develop, implement, and update best practices in corporate governance, including related to corporate governance, governance documents, board composition, and committee structures, in compliance with applicable securities laws, stock exchange listing standards, state law requirements, and investor voting policies
  • Assist in planning, scheduling, and preparing for meetings of the Board and its Committees
  • Lead significant portions of governance outreach efforts to key investors and proxy advisors
  • Support planning and execution for the Company’s annual stockholders meeting, including proxy distribution, annual meeting materials, and annual meeting logistics
  • Effectively communicate with senior executives, Board members, and investors

Securities and Cross-Functional Collaboration

  • Support matters involving stock trading plans, insider trading issues, management of the Company’s insider trading policy, and creation and termination of Rule 10b5-1 trading plans, including pre-clearances and blackout management and identifying and supporting process improvements.
  • Prepare and review governance disclosures, including in proxy statements and investor communications
  • Assist with preparation and filing of Forms 8-K, 10-Q, 10-K, and registration statements
  • Collaborate closely with the Senior Counsel, Securities and Counsel, Executive Compensation and Benefits to prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements, and investor materials, including earnings, and advise on applicable securities law issues.

Qualifications 

  • Juris Doctor degree from an accredited law school and top academic credentials.
  • Licensed to practice in Illinois or licensed and in good standing with another state bar and able to become li‐censed in Illinois.
  • At least 5 years of strong experience practicing corporate governance and securities at a large public corporation (preferred) or major law firm, with an emphasis on corporate governance.
  • Excellent business and legal judgment with the ability to make decisions and give practical advice that demonstrates an understanding of overall business objectives and the balance of risks and rewards in complex situations.
  • Excellent communication and presentation skills, both verbal and written, including the ability to present com‐plex topics in a concise and understandable manner and to collaborate with a range of partners.
  • Ability to stay well-informed of emerging legal developments, market trends and practices, and risks related to public disclosures and corporate governance and eager to learn new areas of law.
  • Strong interpersonal and organizational skills, attention to detail, and ability to thrive in a fast-paced environment.
  • Proactive personality, committed to understanding the industry and the company’s business and culture.

The anticipated salary range for this position:

$154,000.00 - $231,000.00 Annual

The actual salary will vary based on applicant’s location, education, experience, skills, and abilities. This role is bonus and/or incentive eligible. Medline will not pay less than the applicable minimum wage or salary threshold.
