What You'll Bring
The Corporate Development Team is a high-performing, dynamic team responsible for leading TransUnion’s corporate global M&A activities and the development of the underlying long-term global strategy. As a Sr. Director, Corporate Development, you will play an important role in enabling TransUnion to meet its growth objectives while positioning the organization to be the leading, global information and risk solutions provider. You will achieve these goals by partnering with Divisional Presidents to define the Corporate Development agenda to support the Business Unit Strategy, and leading all aspects of Corporate Development projects (e.g. strategic rationale, financial rationale, diligence, negotiation, etc.)
Corporate Development and Strategy
Lead overall development of investment thesis across opportunities including strategic fit and financial attractiveness analyses (e.g. industry attractiveness, asset positioning/ differentiators/ growth potential, synergy definition/ quantification, operational requirements/ investments, financial modeling/ valuation)
Serve as internal and external point of contact ensuring seamless flow of information among key stakeholders (Executive, Board of Directors, Legal department, Corporate Treasury department, investment bankers, etc.)
Lead negotiation of transaction terms and legal documents working closely with cross-functional teams (business units, Legal, Accounting, etc.)
In partnership with business unit leaders, develop and drive Corporate Development strategy to support overall organizational goals
Evaluate strategic fit of potential M&A targets, including market, customer, competitive and synergy analyses
Lead analysis, financial projections, valuation modeling and select deal components for domestic and global M&A transactions for TransUnion
Lead cross-functional teams to complete due diligence and integration planning for strategic initiatives and/or M&A transactions
Develop presentations and potentially present to the C-Suite level
Build content to support a variety of Strategy and M&A process components, including: Acquisition and strategic investment performance reporting, Monthly CEO reports, Board of Director meetings, Corporate three-year-planning activities, Competitive analysis briefs/reports, Other high-visibility, high-stakes materials involving C-suite internal stakeholders
BU Engagement
Partner with BU leadership (SVP, EVP) to prioritize opportunities and ensure flawless execution of Corporate Development activities that support the BU Strategy
Know the organization and understand the implications of change for affected departments
Communicate with expert level detail on TransUnion's products, services, or internal information as necessary
Interact with senior management, business leaders, and occasionally the CEO and Executive Level staff as well as with external TransUnion clients and partners
Be recognized as advanced individual contributor within the organization; Perform as a subject matter expert with additional experience and/or education in field
People / Resource Management
Direct and guide expert TU associates who exercise significant independence and autonomy in decision making
Exercise full management authority for direct reports (if applicable), including performance reviews, pay decisions, recruitment, discipline, termination, and other personnel actions
Effectively interact with peers, subordinate management, and senior management concerning projects and operational decisions to ensure effective and efficient processes with successful outcomes
Lead by influence experienced cross-functional professionals who exercise high latitude and independence in their assignments
Participate with senior management to establish strategic goals, plans, and objectives
Interact with peers, subordinate management, and senior management concerning projects, operational decisions, and/or scheduling requirements that affect the scope of their responsibility
Impact You'll Make
13-15 years post-undergraduate experience with 6-8 post MBA
Experience and strong record of accomplishment in top-tier strategy consulting, investment banking (or other transaction-advisory services firms) and/or corporate strategy and corporate development
Experience in information services, financial services or digital industries preferred
Demonstrated profound understanding of strategy and M&A; and financial acumen
Experience with direct supervisory responsibilities and demonstrated ability to manage, develop, and motivate other associates
Strong leadership skills: ability to take initiative and ownership and effectively leverage resources to drive successfully outcomes
Strong problem solving skills: ability to break down complex problems into critical parts, identify the key causes and effectively prioritize and execute way forward
Strong critical thinking skills: ability to assimilate and understand new concepts in short time frames
Exceptional analytical skills: ability to logically and systematically visualize and efficiently tackle tasks; understanding and mastery of tools and methods to effectively support the Strategy and M&A process
Superior communication skills (verbal and written)
Outstanding interpersonal skills to positively influence outcomes and ability to work across functions and levels of seniority
Highly organized, excellent project management abilities
Advanced fluency in Excel, PowerPoint and Word
