Prolaio is seeking a collaborative, experienced and strategic Vice President to lead our corporate legal function. As Prolaio’s first legal hire, this role reports to the General Counsel at Kardigan and is a member of the Prolaio leadership team serves as the legal business partner to the organization and serves as the head of the legal function, reporting to the General Counsel at Kardigan and the General Manager at Prolaio. You will play a key role in driving corporate legal strategy, ensuring legal compliance, and supporting the company’s long-term business objectives. This is a unique opportunity to
lead the corporate law group at a digital health company and be an integral member of the larger legal group at Kardigan.

This role will report directly to Kardigan’s General Counsel and Corporate Secretary and work closely with the Prolaio Leadership Team.

The Specifics

  • Foster a collaborative and innovative environment by partnering with key stakeholders to provide legal support to enable the company’s mission and strategic initiatives.
  • Leverage deep experience in the digital health/SaMD industry to help the company navigate the legal and regulatory environment.
  • Manage the legal contracts function, including negotiation and drafting of various agreements including vendor agreements, collaboration agreements, joint agreements, joint ventures, software licensing, and partnership agreements.
  • Ensure alignment with business objectives while managing legal and financial risks.
  • Partner with internal teams including Finance, Tax, HR, and Business
  • Development, and work with external counsel as needed, to support corporate
  • legal matters and ensure compliance with applicable laws.
  • Work closely with the Kardigan legal team to coordinate legal and compliance guidance.
  •  Partner with Kardigan IP group on IP matters.

Experience and Education

  • JD is required, with a minimum of 15+ years of experience in corporate law,
  • including 7+ years of prior in-house experience in the digital health or medical device industry.
  • Member of a state bar in good standing. 
  • Deep understanding of the legal and regulatory frameworks that govern digital
  • health/medical device companies. 
  • Strong working knowledge of digital health, biomarker qualification, clinical
  • decision support and SaMD
  • Knowledge of direct to consumer (DTC) and direct to patient (DTP) commercial approaches preferred
  • Proven track record in negotiating, drafting and managing contracts, navigating healthcare compliance, and privacy matters in the digital health or medical device industry. 
  • Strong leadership capabilities, with demonstrated ability to collaborate across departments and influence senior leadership. 
  • A multi-dimensional thinker who operates not only based on experiences but also incorporates new approaches and developments that occur in the marketplace and is able to think creatively.
  • Ability to balance legal and business considerations, offering practical solutions to corporate challenges. 
  • Exceptional analytical, negotiation, and communication skills and ability to build strong interpersonal relationships
  • Must have excellent organizational skills, and can communicate effectively with all levels of the organization
  • Ability to thrive in a fast-paced, dynamic work environment with a focus on achieving results. 
  • Understanding and supportive of a “patient-first” mentality.
