Job Description

Position SummaryThe Associate General Counsel will lead the negotiation, drafting and review of various contracts, templates, and agreements with our vendors and business partners. This role is pivotal in advancing the organization’s goals and priorities by facilitating commercial transactions efficiently while protecting the Company’s interests. The Associate General Counsel will collaborate closely with internal business teams and external partners. A general familiarity with privacy, trademark and copyright laws with and interest in developing a deeper expertise in these areas will be valuable in this position. Responsibilities
  • Negotiate, draft, and review commercial agreements including SAAS and other technology related agreements, property management vendor agreements, joint venture, marketing, advertising, service, consulting, construction, staffing, and other agreements ensuring contracts are clear, legally sound, and in terms favorable to the Company.
  • Support transactional activities related to property divestitures and acquisitions by ensuring contracts are appropriately reviewed, assigned, amended, or terminated as needed.
  • Identify, review, and summarize legal, financial, and business issues within both standard and non-standard agreements and contracts, providing practical guidance to business stakeholders.
  • Ensure the accuracy and completeness of agreements, amendments, renewals, and extensions and manage necessary follow-up activities to maintain compliance with contractual obligations as needed.
  • Partner with business stakeholders and internal legal team members to develop, update, and maintain contract templates and standardize processes to improve efficiency in contracting.
  • Develop, maintain, and enhance internal policies and processes related to contract lifecycle management and compliance.
  • Collaborate with internal clients and legal team members to prioritize work effectively and deliver timely, high-quality results within established timelines.
  • Engage, manage, and oversee outside counsel as needed to advise and represent the Company on legal matters.
  • Support special projects and other duties as assigned.

Qualifications          

  • High School Diploma or GED required.
  • Bachelor’s degree required.
  • A J.D. from a leading law school, with proven academic success.
  • A minimum of 7 years of commercial and contracting law experience with a law firm and/or corporation.
  • Proven ability to independently lead the structuring, drafting, negotiation, management, and execution of sophisticated commercial transactions.
  • Excellent verbal and written communication skills and strong negotiation ability, with an eye toward pragmatic, mutually beneficial outcomes.
  • Familiarity with privacy laws and how they interface with commercial transactions.
  • Familiarity with various contracts lifecycle management solutions; previous implementation experience a plus.
  • Proven ability to handle stressful situations, a diverse and high-volume workload, and provide client service in a professional manner.
  • Excellent interpersonal skills, with an ability to interface with colleagues at all levels and to inspire confidence and trust with a variety of clients.
  • A dedication and commitment to practicing law in a fast-paced, dynamic environment.

Compensation

Salary type: Exempt 

Pay Frequency: Bi-weekly

Annual Base Salary Range: $170,000 - $230,000

Annual Bonus: 30%
