This role partners with Total Rewards, Legal, Finance, Payroll, and external service providers to ensure accurate, timely, and compliant execution of all equity-related programs.
Position Responsibilities:
The responsibilities of the Equity Compensation Administration Specialist include, but are not limited to:
- Lead the deployment, maintenance, initiation of change, and administration of Boeing's equity program, including annual, monthly, and supplementary grant cycles, executive grants, termination events, large-scale vesting events, tax withholding, compliance, etc
- Lead interactions with equity plan service providers to ensure data integrity and timely resolution of issues. Support process testing and system implementations/upgrades
- Support management of grant lifecycle activities: grant setup, enrollment, modifications, cancellations, exercises, payouts, forfeitures, and post-termination processing
- Manage Section 16 reporting obligations, including preparation, review, and timely filing of Forms 3, 4, and 5; coordinate with Corporate Secretary and external counsel/filing agents to ensure accurate ownership disclosures, track officer/director insider transaction activity and blackout windows, respond to Section 16 inquiries
- Support preparation of share usage and stock plan status reports for the Board of Directors and internal audits. Assist in preparing relevant sections of SEC filings, including compiling and reconciling share reserve and dilution metrics
- Manage Board of Directors compensation inquiries and process 1099s
- Act as primary point of contact for internal stakeholders, delivering clear guidance on grants, vesting, exercise, taxation, withholding, and plan rules
- Maintain and improve program documentation, administrative processes, system configurations, and participant communications.
- Supports equity program design and deployment to ensure incorporation of best practices and compliance requirements
- Support annual compensation review process alongside total rewards partners
- Stay abreast of equity compensation trends and changes
- Lead and/or participate in ad hoc project teams
Basic Qualifications (Required Skills/Experience):
- 5+ years of experience with Human Resources and/or Compensation
- 5+ years of experience in stock and/or equity plan administration
Preferred Qualifications (Desired Skills/Experience):
- Certified Equity Professional (CEP) or working toward certification.
- Bachelor's degree in Human Resources, Finance, Business Administration, or a related field
- 7+ years of experience in equity plan administration in a public company environment, including project management experience and partnership with business and strategy leaders
- Complete knowledge of equity compensation types (RSUs, PSUs, stock options, ESPP) and related tax/regulatory requirements
- Subject matter expertise in stock plan administration, detailed-oriented with strong organizational and project management skills
- Expertise in Workday HR Management Systems
- Expertise in equity plan administration software
- Proficient in MS Office applications (Word, Excel, PowerPoint)
- Experience in equity administration in a large or matrixed organization
- Experience with Fidelity Plan Sponsor WebStation
