Numerator is looking for a Senior Commercial Counsel to own commercial transactions across the Americas. You'll operate with a high degree of independence, managing a portfolio of deals while partnering strategically with business leaders across the organization. This role reports to Numerator's General Counsel.
What You'll Do
- Contract Negotiation and Drafting: Own the end-to-end negotiation and drafting of complex commercial agreements, including SaaS agreements, data licensing agreements, master service agreements, order forms, and statements of work. Manage a full deal portfolio with limited day-to-day oversight.
- Risk Assessment: Identify and assess legal risks across your portfolio, seeing patterns and anticipating issues before they surface. Make judgment calls independently and know when to escalate.
- Regulatory Awareness: Stay current on privacy and data protection laws relevant to your region and advise on how regulatory developments impact deal terms and product offerings.
- Cross-Functional Partnership: Serve as a trusted legal advisor to Sales, Product, Finance, and other business partners. Communicate strategically, anticipate stakeholder needs, and provide advice that accounts for both deal-level and broader business implications.
- Process and Tools: Use AI and legal technology tools as part of daily workflows. Identify and drive opportunities to improve templates, playbooks, and processes across the commercial legal function. Manage deals through Salesforce.
- Team Contribution: Mentor junior team members, contribute to training and knowledge-sharing, and help maintain high-quality, consistent output across the team. Manage and develop direct reports on the commercial legal team.
- 6-8 years of commercial/transactional legal experience, with meaningful time in-house at a technology, data, or SaaS company.
- Deep experience drafting and negotiating complex commercial agreements, particularly SaaS and data licensing deals.
- Strong knowledge of privacy and data protection laws, with the ability to advise on regulatory developments and their commercial impact.
- Comfort using AI and legal technology tools in day-to-day legal work.
- Track record of managing a deal portfolio independently with sound judgment on when to escalate.
- Excellent communication skills, with the ability to craft strategic narratives and translate legal risk into business-relevant advice for non-legal stakeholders.
- Proficiency with Google Suite, Microsoft Office, and Salesforce.
- Experience in the data, research, or consumer insights industry.
- JD and admission to the Illinois bar
