The TAS team supports private equity sponsors, lenders and corporates with financial, tax and operational diligence across Mergers & Acquisitions (M&A) and corporate actions. The Director, TAS // Federal Transaction Tax represents a unique opportunity to assume a wide range of responsibilities and make a significant impact. The Director will be a leader serving private equity, direct lenders and corporate clients by supporting buy-side and sell-side transactions, transaction structuring, and transaction-related modeling. This role is intended for a strong federal transaction tax generalist with meaningful experience in partnership taxation and partnership tax modeling. The Director will report directly to senior leaders and oversee a broad range of responsibilities across buy-side and sell-side transactions, post-closing integration, restructuring, and related advisory workstreams. You will lead key initiatives, manage discrete workstreams and work closely with senior leaders. Responsibilities

    • Perform and lead federal tax due diligence on buy-side and sell-side transactions, including review of tax returns, legal documents, financial information, and other diligence materials to identify and evaluate material tax risks and opportunities
    • Advise clients and engagement teams on transaction structuring alternatives, including the federal income tax consequences of taxable and tax-free transactions involving corporations, LLCs, and partnerships
    • Review and analyze tax aspects of financial models, purchase agreements, rollover structures, and structuring calculations
    • Build and review transaction-related models addressing basis step-up, tax attribute utilization, interest limitation considerations, transaction costs, stock versus asset considerations, and related tax economics
    • Support the team in analyzing partnership tax matters, including sections 704(b), 704(c), 705, 707, 731, 734, 743, 751, and 754, as relevant, and apply those rules to rollover structures, basis adjustments, disguised sale issues, debt allocations, hot asset issues, and other partnership-specific transaction matters
    • Analyze and model partnership transaction issues, including section 754 elections, inside and outside basis adjustments, section 704(c) layers, disguised sales, liability allocation questions, and related tax consequences arising in acquisitions, restructurings, and internal reorganizations
    • Draft clear, concise, client-ready memoranda and reports outlining key tax issues, modeling outputs, structuring observations, and recommendations
    • Assist with sell-side tax support, including tax issue identification, bidder Q&A support, and review of tax provisions in transaction documents
    • Provide practical tax input on post-close integration, restructuring, and other transaction-adjacent matters as needed
    • Provide coaching and mentorship to junior team members
    • Lead or support internal training and sharing best practices
    • Lead or support talent acquisition and firm-building initiatives
    • Contribute to a high-performing, inclusive and values-driven culture

Qualifications

  • Bachelor’s degree from a top undergraduate program
  • CPA, Masters in Taxation, or JD/LLM preferred, but not required
  • Located in or willing to relocate to Atlanta, Boston, Chicago, Dallas, Houston, Los Angeles, Nashville, New York, Palm Beach or Philadelphia
  • Invested in a team-based culture, motivated to collaborate in office four days per week and willing to work at client sites as needed
  • 7+ years of relevant experience in a mergers & acquisitions tax practice at a large public accounting firm, large law firm, or similar 
  • Strong experience in federal transaction tax, including buy-side due diligence, transaction structuring, and transaction-related modeling 
  • Meaningful experience with partnership taxation, including analyzing and applying partnership tax rules in transactional work; experience with rollover structures, basis adjustments, disguised sale issues, debt allocations, and related modeling strongly preferred 
  • Ability to translate complex information into clear, concise observations, exposures, recommendations, and structural alternatives 
  • Advanced analytical and problem-solving capabilities, with a proven ability to turn complex information into effective strategies and outcomes 
  • Skilled in transforming data into actionable reports and models using Excel for large-scale data management and manipulation 
  • Proven ability to thrive in lean, fast-moving teams
  • High attention to detail, responsiveness and ownership mindset
  • Track record of success in high-pressure, client-facing environments
  • Superior written and verbal communication skills, including executive-ready presentation and reporting skills
